The scope of services encompasses, but is not limited to: preparation and analysis of biological samples, operation and maintenance of laboratory instrumentation, quality control procedures, documentation of experimental results, compliance with biosafety protocols, and support to senior researchers in ongoing clinical trials conducted at the IPCP facility in Brasília.

- Place of Performance: All services under this Purchase Order shall be rendered exclusively at the IPCP laboratory premises located in Brasília, Federal District, Brazil. The Laboratory Technician shall report to the designated facility on all scheduled working days in accordance with the agreed-upon shift schedule.
- Contract Duration: This Purchase Order covers an initial period of twelve (12) months, commencing on 01 August 2025 and concluding on 31 July 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiration.
- Qualification Requirements: The Laboratory Technician assigned under this Purchase Order must hold a minimum of a higher education degree (graduação) in Biotechnology, Biochemistry, or a related field, and must possess a valid registration with the Conselho Federal de Biologia (CFBio) or the applicable professional council in Brazil.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day for the preceding month. Payment shall be made via bank transfer (TED/PIX) to the account designated by TechLab Recursos Humanos Ltda. within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate of 1% per month plus SELIC, in accordance with Brazilian commercial law.
- Compliance with Brazilian Law: The Supplier warrants that all employment relationships, tax obligations, social security contributions, and labor rights associated with the Laboratory Technician shall be fully compliant with the Brazilian Consolidation of Labor Laws (CLT), the Federal Constitution of Brazil, and all municipal regulations applicable in Brasília, DF.
- Confidentiality and Data Protection: The Laboratory Technician shall be bound by a non-disclosure agreement and shall comply with the Brazilian General Data Protection Law (LGPD — Lei nº 13.709/2018) in the handling of all patient data, research data, and proprietary information encountered in the course of duties at the Brasília facility.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, plus any non-recoverable costs incurred by the Supplier in Brasília.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of the Federative Republic of Brazil. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Brasília, Federal District, Brazil.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting the Brasília metropolitan area.
