- Scope of Services: This Purchase Order authorizes LabPro Staffing Solutions Ltd. to recruit, place, and manage qualified Laboratory Technician personnel for Montreal BioSciences Inc. All Laboratory Technician candidates must possess a minimum of a Diploma in Laboratory Technology from a recognized Quebec institution and hold a valid Certificate of Competency issued by the Ordre des technologues médicaux du Québec.
- Work Location: All Laboratory Technician personnel shall be assigned to and perform their duties at the Canada Montreal laboratory facility located at 4520 Boulevard René-Lévesque Ouest. Any reassignment to a secondary site within the Canada Montreal metropolitan area requires prior written approval from the Buyer.
- Compliance: The Vendor shall ensure that all Laboratory Technician staff comply with the Canada Health Act, the Quebec Act Respecting Health Professions, and all applicable municipal bylaws governing laboratory operations in Canada Montreal. The Vendor is responsible for maintaining current biosafety training records for each Laboratory Technician.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment of this Purchase Order shall be made via electronic funds transfer (EFT) to the Vendor's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate prescribed under the Quebec Late Payment of Commercial Debts Act.
- Termination: Either party may terminate this Purchase Order with sixty (60) days written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination. The Vendor shall ensure a minimum of thirty (30) days transition period for any Laboratory Technician replacement.
- Confidentiality: All Laboratory Technician personnel shall execute a Non-Disclosure Agreement (NDA) prior to commencing work. Confidential information pertaining to research data, patient specimens, and proprietary methodologies handled in Canada Montreal shall remain the exclusive property of Montreal BioSciences Inc.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of Quebec and the federal laws of Canada applicable in the province of Quebec, Canada Montreal jurisdiction.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Canada Montreal before proceeding to arbitration under the rules of the ADR Institute of Canada, with the seat of arbitration in Canada Montreal, Quebec.
