- This Purchase Order (PO-MDL-2025-0487) is issued by Medellín Diagnostics & Research Laboratories S.A.S., a legal entity registered in Medellín, Antioquia, Colombia, and constitutes a binding procurement commitment for the services described herein.
- The vendor, Talento Científico Antioquia S.A.S., shall ensure that the Laboratory Technician candidate holds a minimum of a Technical Diploma (Técnico en Laboratorio Clínico) or a Bachelor's degree in Laboratory Sciences, Biology, or a related field, as recognized by the Colombian Ministry of Education (Ministerio de Educación Nacional).
- All services rendered under this Purchase Order shall be performed at the company's primary facility located in Medellín, Colombia, or at such other locations within the Antioquia department as mutually agreed in writing by both parties.
- The Laboratory Technician shall be subject to the internal policies, health and safety regulations, and quality management systems of the Medellín laboratory, including but not limited to compliance with Resolución 31001 de 2015 (INVIMA) governing clinical laboratory practices in Colombia.
- Payment shall be processed via bank transfer (transferencia electrónica) to the vendor's designated account in Colombian Pesos (COP) within thirty (30) calendar days from the date of receipt of a valid invoice (factura electrónica) compliant with DIAN (Dirección de Impuestos y Aduanas Nacionales) electronic invoicing requirements in Colombia.
- The vendor warrants that the Laboratory Technician shall not be under any conflict of interest, criminal record, or professional disciplinary action that would disqualify them from performing clinical laboratory duties in Colombia.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the vendor shall be compensated for services rendered up to the termination date, and the Laboratory Technician shall be transitioned in accordance with Colombian labor termination procedures.
- All disputes arising from this Purchase Order shall be resolved through the competent labor and commercial courts of Medellín, Antioquia, Colombia, in accordance with the Colombian Code of Civil Procedure (Código General del Proceso, Ley 1564 de 2012).
- This Purchase Order is governed by the laws of the Republic of Colombia. Any amendments must be made in writing and signed by authorized representatives of both parties.
- The vendor shall maintain full confidentiality regarding all proprietary laboratory methods, patient data, and operational information of the Medellín facility, in compliance with the Colombian Data Protection Law (Ley 1581 de 2012).
