- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from the performance of Laboratory Technician services under this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France Marseille.
- Commencement and Duration: The Laboratory Technician engagements shall commence on 1 September 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. All services shall be rendered at the buyer's premises in France Marseille unless otherwise directed in writing.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made by bank transfer (virement SEPA) within thirty (30) calendar days of receipt of a valid invoice referencing this Purchase Order number. Late payments shall accrue interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- Compliance and Regulatory Obligations: The supplier shall ensure that every Laboratory Technician assigned under this Purchase Order holds a minimum of a BTS Analyses de Laboratoire or equivalent qualification recognized by the French Ministry of Higher Education. All personnel shall comply with the French Labor Code, the EU CLP Regulation (EC) No 1272/2008, and the specific safety protocols of the France Marseille laboratory.
- Confidentiality and Data Protection: All Laboratory Technician personnel shall sign a non-disclosure agreement and shall process personal data in strict compliance with the GDPR (Regulation (EU) 2016/679) and the French Data Protection Act (Loi Informatique et Libertés, as amended). Sensitive analytical data generated at the France Marseille site shall not be disclosed to any third party.
- Substitution and Replacement: The supplier may not substitute any Laboratory Technician without prior written consent from the buyer. Any replacement candidate must meet or exceed the qualifications specified in this Purchase Order and must complete the France Marseille site-specific induction before commencing duties.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the aggrieved party may terminate with immediate effect upon written notice. Termination shall not affect accrued payment obligations for Laboratory Technician services already rendered.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the France Marseille region, pandemics, or government-mandated laboratory closures.
- Acceptance: This Purchase Order becomes binding upon signature by both parties. The supplier's acceptance of this Purchase Order constitutes full agreement to all terms herein regarding the provision of Laboratory Technician services in France Marseille.
