This Purchase Order is issued by Berlin Analytical Sciences GmbH for the engagement of a qualified Laboratory Technician to provide specialized technical support within our central research and diagnostics facility located in Germany Berlin. The services described herein are subject to the terms, conditions, and regulatory requirements applicable to laboratory operations in the state of Berlin and the Federal Republic of Germany. 5.1 Scope and Location. All services under this Purchase Order shall be performed exclusively at the Buyer's premises located in Germany Berlin, Charlottenburg district. The Laboratory Technician shall report to the designated laboratory floor and shall not be redeployed to any other site without prior written consent from the Buyer.
5.2 Qualification Requirements. The Laboratory Technician engaged under this Purchase Order must hold a minimum of a completed vocational training (Ausbildung) as a "Laborant/in" or "Biomedizinische/r Laboratoriumsassistenz" recognized by the state of Berlin, or an equivalent qualification from another German federal state. A valid certificate of professional competence (Fachkunde) in handling biological agents (Category 2) issued under the German Infection Protection Act (Infektionsschutzgesetz – IfSG) is mandatory.
5.3 Payment Terms. Invoices shall be submitted monthly in arrears. Payment shall be made via SEPA bank transfer within 30 calendar days of receipt of a valid invoice. Late payments shall incur interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB).
5.4 Termination. Either party may terminate this Purchase Order with a written notice period of 60 days. In the event of termination, the Buyer shall compensate the Vendor for all services rendered up to the effective date of termination. The Laboratory Technician's employment relationship shall be governed separately by the applicable German labor law (Tarifvertrag) and shall not be automatically terminated by the cancellation of this Purchase Order.
5.5 Confidentiality and Data Protection. The Laboratory Technician shall be bound by a strict confidentiality agreement (Vertraulichkeitsvereinbarung) covering all patient data, research findings, and proprietary methodologies. All data processing shall comply with the General Data Protection Regulation (GDPR) and the German Federal Data Protection Act (BDSG). The Vendor shall designate a Data Protection Officer (Datenschutzbeauftragter) for the duration of this engagement.
5.6 Regulatory Compliance. The Vendor warrants that the Laboratory Technician shall comply with all applicable regulations of the Federal Institute for Drugs and Medical Devices (BfArM), the Berlin State Office for Health and Consumer Protection (LagesBVG), and the German Chemicals Act (Chemikaliengesetz – ChemG). Any violation of laboratory safety protocols shall be reported to the Buyer within 24 hours.
5.7 Governing Law and Jurisdiction. This Purchase Order shall be governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Berlin, Germany.
The Laboratory Technician shall commence duties no later than 1 September 2025 at the Buyer's facility in Germany Berlin. The Vendor shall ensure that all onboarding procedures, including safety induction, access card issuance, and system credential setup, are completed within the first five (5) working days of commencement.
Note: This Purchase Order is valid only upon signature by both the authorized representative of the Buyer and the authorized representative of the Vendor. Unsigned copies shall not constitute a binding agreement. All amendments to this Purchase Order must be made in writing and signed by both parties.
