1. Description of ProcurementThis Purchase Order is issued by Delhi Metropolitan Diagnostics & Research Institute Pvt. Ltd. (hereinafter referred to as the "Buyer") to MedTech Professional Staffing Solutions LLP (hereinafter referred to as the "Supplier") for the procurement and deployment of qualified Laboratory Technician personnel to support the Buyer's clinical and research laboratory operations located in India New Delhi. The scope of this Purchase Order encompasses the recruitment, onboarding, training, and continuous professional engagement of Laboratory Technician professionals who shall perform diagnostic testing, sample processing, quality control, and equipment maintenance duties within the Buyer's facilities in India New Delhi.
2. Scope of Work and DeliverablesThe Laboratory Technician personnel procured under this Purchase Order shall be responsible for the following duties within the India New Delhi laboratory premises:

3. Terms and Conditions- Place of Performance: All services under this Purchase Order shall be rendered exclusively at the Buyer's laboratory premises located in India New Delhi, specifically at the address stated above. The Laboratory Technician personnel shall report to the designated work location in New Delhi, India, and shall not be redeployed to any other city or state without prior written consent from the Buyer.
- Qualification Requirements: Every Laboratory Technician deployed under this Purchase Order must hold a valid degree or diploma in Medical Laboratory Technology (MLT) or an equivalent qualification recognized by the Indian Council of Medical Research (ICMR) and the National Accreditation Board for Testing and Calibration Laboratories (NABL). The Supplier shall submit copies of all educational certificates, professional registrations, and experience letters prior to the commencement of services.
- Payment Terms: Payment shall be made in monthly installments within 30 days of receipt of a valid tax invoice from the Supplier. The first installment shall be due within 15 days of the successful onboarding of all Laboratory Technician personnel at the India New Delhi facility. Payments shall be processed via NEFT/RTGS to the Supplier's designated bank account in India.
- Performance Standards: The Laboratory Technician staff shall adhere to all Standard Operating Procedures (SOPs) of the Buyer's laboratory, comply with the Clinical Establishments Act, 2010, and maintain full compliance with NABL ISO 15189:2022 standards. Any deviation shall be reported to the Buyer's Quality Assurance Manager within 24 hours.
- Substitution Clause: In the event a Laboratory Technician is unable to continue service due to resignation, medical leave, or termination, the Supplier shall replace the individual with a qualified Laboratory Technician of equivalent or superior qualification within 14 calendar days, at no additional cost to the Buyer.
- Confidentiality and Data Protection: All Laboratory Technician personnel shall sign a Non-Disclosure Agreement (NDA) and shall comply with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023, as applicable in India New Delhi. Patient data and proprietary research information shall remain the exclusive property of the Buyer.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In cases of material breach, termination may be effected with 15 days' notice. Upon termination, the Supplier shall ensure an orderly handover of all Laboratory Technician duties and laboratory records at the India New Delhi site.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in India New Delhi.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in India New Delhi, or pandemics, provided that the affected party notifies the other within 48 hours.
This Purchase Order becomes effective upon signature by both parties. The Supplier acknowledges receipt of this Purchase Order and confirms its ability to furnish qualified Laboratory Technician personnel at the India New Delhi location within 21 calendar days of the effective date.
