- Scope of Engagement: The Seller shall supply a Laboratory Technician who holds a minimum Diploma III (D3) degree in Medical Laboratory Technology (Teknologi Laboratorium Medis) from an accredited institution in Indonesia Jakarta or elsewhere in Indonesia, and who possesses a valid STR (Surat Tanda Registrasi) issued by the Indonesian Ministry of Health. The Laboratory Technician shall perform clinical sample analysis, quality control procedures, instrument maintenance, and documentation in accordance with ISO 15189:2022 standards.
- Place of Performance: All services under this Purchase Order shall be rendered at the Buyer's facility located at Jl. Jend. Sudirman Kav. 52-53, Tower B, Floor 14, Setiabudi, Indonesia Jakarta 12190. The Laboratory Technician shall report to the site no later than 07:30 WIB on each working day (Monday through Saturday).
- Contract Duration: The engagement of the Laboratory Technician shall commence on 1 August 2025 and shall continue for a period of twelve (12) months, subject to renewal by mutual written agreement. This Purchase Order governs the initial twelve-month term.
- Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid tax invoice (faktur pajak) from the Seller. Monthly salary disbursements for the Laboratory Technician shall be processed by the Seller on the last working day of each month. The Buyer shall settle the lump-sum items (Nos. 2 through 5) within fourteen (14) days of the commencement date.
- Compliance with Indonesian Law: The Seller warrants that the Laboratory Technician shall be engaged in full compliance with the Indonesian Manpower Law (UU No. 13 Tahun 2003), the Health Law (UU No. 17 Tahun 2023), and all applicable regulations of the Jakarta Provincial Government (Pemerintah Provinsi DKI Jakarta). The Seller shall bear all employer-side obligations, including but not limited to BPJS Kesehatan, BPJS Ketenagakerjaan, annual leave entitlements, and statutory bonuses (THR).
- Confidentiality and Data Protection: The Laboratory Technician shall be bound by a non-disclosure agreement (NDA) and shall comply with the Personal Data Protection Law (UU No. 27 Tahun 2022). All patient specimens, test results, and operational data handled in Indonesia Jakarta shall be treated as strictly confidential.
- Performance Standards: The Laboratory Technician shall maintain a minimum accuracy rate of 99.5% on all analytical procedures. Failure to meet this standard for two consecutive monthly evaluations shall constitute grounds for termination of this Purchase Order without penalty to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Seller shall facilitate the orderly transition of the Laboratory Technician's duties and ensure the return of all Buyer-issued equipment and credentials.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to the Commercial Court (Pengadilan Niaga) in Indonesia Jakarta for adjudication under the laws of the Republic of Indonesia.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Indonesia, with particular reference to the regulations applicable in the special capital region of Indonesia Jakarta.
