This Purchase Order is issued by Abidjan Medical Diagnostics & Research Centre (hereinafter referred to as the "Buyer") to West Africa Laboratory Staffing Solutions Ltd. (hereinafter referred to as the "Supplier") for the recruitment, placement, and ongoing provision of qualified Laboratory Technician professional services. The services described herein shall be rendered exclusively at the Buyer's primary diagnostic facility located in Ivory Coast Abidjan, specifically at the Boulevard VGE, Cocody Angré premises.

The Laboratory Technician engaged under this Purchase Order shall be responsible for performing a comprehensive range of diagnostic laboratory procedures, including but not limited to: clinical chemistry analyses, haematology testing, microbiological cultures and sensitivity testing, parasitological examinations, urinalysis, and histopathological sample preparation. The Laboratory Technician must hold a minimum of a Diploma in Medical Laboratory Science (DMLS) or equivalent qualification recognized by the Ivorian Ministry of Health and must possess a valid professional practice licence issued by the Ordre des Biologistes et Techniciens de Laboratoire de Côte d'Ivoire.

4. TERMS AND CONDITIONS

Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Côte d'Ivoire, including the Ivorian Labour Code (Code du Travail) and all applicable regulations pertaining to the employment and engagement of Laboratory Technician professionals within the jurisdiction of Ivory Coast Abidjan.
Commencement Date: The Laboratory Technician shall commence duties at the Buyer's facility in Ivory Coast Abidjan no later than 01 July 2025. The Supplier shall ensure that all onboarding documentation, including the professional practice licence, CNSS registration, and occupational health clearance, is completed prior to the commencement date.
Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Supplier. The initial recruitment and placement fee (Item 01) shall be payable in two equal instalments: fifty percent (50%) upon execution of this Purchase Order and fifty percent (50%) upon successful placement and commencement of the Laboratory Technician.
Quality Assurance: The Laboratory Technician shall adhere to all quality standards set forth by the Ivorian National Agency for Laboratory Quality (ANQUALAB) and shall participate in external quality assessment (EQA) schemes as mandated for all diagnostic laboratories operating in Ivory Coast Abidjan.
Confidentiality: The Supplier and the Laboratory Technician shall maintain strict confidentiality regarding all patient data, proprietary diagnostic methodologies, and operational information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of material breach, the aggrieved party may terminate upon fourteen (14) days' written notice. Upon termination, the Supplier shall ensure an orderly transition of all Laboratory Technician duties and records to the Buyer or a designated successor in Ivory Coast Abidjan.
Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to the competent commercial court of Abidjan, Ivory Coast.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to epidemics, civil unrest, or government-mandated closures affecting operations in Ivory Coast Abidjan.
