Republic of Kazakhstan 1. Description of Purchase Order and Scope of Services

This Purchase Order is issued by the Almaty Regional Medical Research Institute (hereinafter referred to as the "Buyer") to Central Asia Scientific Staffing LLC (hereinafter referred to as the "Supplier") for the procurement and engagement of qualified Laboratory Technician professional services. The services described in this Purchase Order shall be rendered exclusively within the city of Kazakhstan Almaty, specifically at the Buyer's primary research facility located at 45 Abay Avenue, Almaty, 050040, Republic of Kazakhstan.

The Supplier is hereby authorized and obligated to provide the Buyer with a minimum of three (3) fully certified Laboratory Technician professionals who shall perform diagnostic testing, sample preparation, equipment calibration, quality control procedures, and routine laboratory maintenance in accordance with the standards established by the Ministry of Healthcare of the Republic of Kazakhstan and the international ISO 15189:2022 accreditation requirements.

3. Terms and Conditions of the Purchase Order

Acceptance: This Purchase Order shall become binding upon written acceptance by the Supplier within ten (10) business days of the date of issue. Failure to respond within this period shall constitute a rejection of this Purchase Order.
Service Location: All Laboratory Technician personnel engaged under this Purchase Order shall perform their duties at the Buyer's facility in Kazakhstan Almaty. The Supplier guarantees that all assigned Laboratory Technician professionals hold valid work permits and residency documentation compliant with the labor laws of the Republic of Kazakhstan.
Qualification Requirements: Each Laboratory Technician must possess a minimum of a bachelor's degree in Laboratory Science, Clinical Laboratory Technology, or a directly related field from an accredited institution. A minimum of three (3) years of post-qualification experience in a clinical or research laboratory setting in Kazakhstan Almaty or an equivalent international environment is required.
Payment Terms: Payment shall be made in quarterly installments of 3,650,000 KZT each, due within thirty (30) calendar days following the end of each calendar quarter. Payment shall be remitted via bank transfer to the Supplier's designated account in Kazakhstan Almaty. All payments are subject to applicable Kazakhstani value-added tax (VAT) at the prevailing rate of 12%.
Performance Standards: The Supplier warrants that all Laboratory Technician personnel shall maintain a minimum 99.2% accuracy rate in diagnostic testing and shall comply with all safety protocols established by the Kazakhstan Almaty municipal health authority. Failure to meet these standards for two consecutive months shall entitle the Buyer to terminate this Purchase Order with thirty (30) days' written notice.
Confidentiality: The Supplier and all Laboratory Technician personnel shall maintain strict confidentiality regarding patient data, research findings, and proprietary methodologies encountered during the performance of services in Kazakhstan Almaty. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Supplier shall ensure an orderly transition of all Laboratory Technician duties and shall return all proprietary materials and documentation belonging to the Buyer.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and the applicable commercial legislation. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kazakhstan Almaty in accordance with the rules of the Almaty International Arbitration Center.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Kazakhstan Almaty.

4. Delivery and Commencement Schedule

The Supplier shall ensure that all three (3) Laboratory Technician professionals are fully onboarded, have completed orientation, and are operational at the Buyer's facility in Kazakhstan Almaty no later than 1 August 2025. The Supplier shall provide the Buyer with a detailed onboarding schedule, including background verification, medical clearance, and laboratory safety certification, no fewer than fourteen (14) days prior to the commencement date.

5. Authorization and Signatures

This Purchase Order is issued under the authority of the undersigned officers and represents a binding commitment of the Buyer to procure the Laboratory Technician services described herein for use in Kazakhstan Almaty.
