This Purchase Order is issued by the Buyer for the procurement and placement of a qualified Laboratory Technician to perform diagnostic, analytical, and quality-control functions within the Buyer's clinical laboratory facilities located in Mexico, Mexico City. The Seller shall be responsible for the recruitment, vetting, onboarding, and initial training of the Laboratory Technician candidate to ensure full compliance with the regulatory standards established by the Secretaría de Salud and the Comisión Federal para la Protección contra Riesgos Sanitarios (COFEPRIS) applicable in the state of Mexico and the Mexico City metropolitan area.

3. TERMS AND CONDITIONS
  1. Scope of Work: The Seller guarantees that the Laboratory Technician placed under this Purchase Order shall hold a valid professional license issued by the relevant authority in Mexico, Mexico City, and shall possess a minimum of three (3) years of documented experience in clinical laboratory settings. The technician must be proficient in operating automated analyzers, performing wet-lab procedures, and maintaining quality assurance records.
  2. Delivery and Commencement: The Laboratory Technician shall be available for duty at the Buyer's facility in Mexico, Mexico City, no later than thirty (30) calendar days from the date of acceptance of this Purchase Order. The Seller shall provide written confirmation of the candidate's identity, credentials, and availability within ten (10) business days of the PO issuance date.
  3. Payment Terms: Payment shall be made in two (2) installments: fifty percent (50%) upon successful onboarding and commencement of duties by the Laboratory Technician, and the remaining fifty percent (50%) upon completion of the six-month supervision period. All payments shall be made via bank transfer to the Seller's designated account in Mexican Pesos (MXN). Payment is due within fifteen (15) business days of receipt of a valid invoice (factura) compliant with the SAT (Servicio de Administración Tributaria) electronic invoicing requirements.
  4. Compliance and Regulation: All services rendered under this Purchase Order shall comply with the applicable federal and local regulations of Mexico, Mexico City, including but not limited to the Ley General de Salud, the Reglamento de Práctica Profesional de la Enfermería, and all COFEPRIS guidelines governing clinical laboratory operations. The Laboratory Technician shall be subject to the Buyer's internal quality management system (ISO 15189:2022).
  5. Confidentiality: The Seller and the Laboratory Technician shall maintain strict confidentiality regarding all patient data, proprietary laboratory methods, and operational information of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years in accordance with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares.
  6. Warranty and Replacement: In the event that the Laboratory Technician fails to meet the performance standards outlined in the Buyer's job description within the first ninety (90) days, the Seller shall, at no additional cost, provide a replacement candidate of equivalent or superior qualifications. The replacement must also be based in or willing to relocate to Mexico, Mexico City.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable only for services actually rendered up to the date of termination. The Seller shall ensure a smooth transition of the Laboratory Technician's duties and documentation.
  8. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the United Mexican States. Any disputes arising from or in connection with this document shall be subject to the exclusive jurisdiction of the commercial courts located in Mexico, Mexico City.
  9. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting operations in Mexico, Mexico City.
4. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of a Laboratory Technician service in Mexico, Mexico City. This document constitutes a binding agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
