The services encompass the full recruitment, onboarding, supervision, and ongoing professional management of Laboratory Technicians for a period of twelve (12) months, with an option to renew for an additional twelve-month term upon mutual agreement.

All Laboratory Technician personnel deployed under this Purchase Order shall report to the Victoria Island, Lagos facility on a five-day work week (Monday to Friday, 8:00 AM to 5:00 PM, with a one-hour lunch break). The Laboratory Technicians shall be responsible for the receipt, logging, and processing of patient samples including blood, urine, tissue, and swab specimens. They shall operate and maintain laboratory instruments, perform quality control checks, document results in the laboratory information management system (LIMS), and ensure full compliance with the standards set by the National Agency for Food and Drug Administration and Control (NAFDAC) and the MLSCN. All work shall be conducted within the premises in Nigeria Lagos, and the supplier shall ensure that each Laboratory Technician holds a valid MLSCN registration certificate and a current National Identity Number (NIN) as required for employment in Nigeria.
- Payment shall be made in Nigerian Naira (NGN) via bank transfer to the supplier's designated account. The buyer shall remit 25% of the total contract value (NGN 1,327,500.00) as an advance mobilisation payment within seven (7) business days of the signed Purchase Order.
- Remaining balance shall be paid in equal monthly instalments of NGN 365,000.00, due on the 5th business day of each month, subject to satisfactory performance review of the Laboratory Technician staff.
- All payments are subject to the deduction of applicable Nigerian taxes, including 7.5% Withholding Tax (WHT) and 3% Value Added Tax (VAT) where applicable under the laws of the Federal Republic of Nigeria.
- Late payments beyond the stipulated due date shall attract a penalty of 1.5% per month on the outstanding amount, in accordance with the Lagos State Commercial Arbitration Act.
- The supplier shall issue a valid Tax Invoice for each payment tranche, clearly referencing this Purchase Order number (NGA-LAG-2025-04782).
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Federal Republic of Nigeria, with particular reference to the Lagos State legal jurisdiction for any disputes arising from the performance of services in Nigeria Lagos.
- The supplier warrants that all Laboratory Technician personnel shall be medically fit, free from any criminal record (as verified by the Nigeria Police Force), and in full compliance with the MLSCN Code of Professional Conduct.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
- The supplier shall maintain professional indemnity insurance of not less than NGN 50,000,000.00 covering all Laboratory Technician personnel for the duration of this contract.
- All intellectual property, patient data, and research findings generated by the Laboratory Technicians during the course of this engagement shall remain the exclusive property of the buyer, in compliance with the Nigeria Data Protection Regulation (NDPR) 2019.
- Any amendments to this Purchase Order must be made in writing and signed by authorised representatives of both parties.
- Disputes arising from this Purchase Order shall first be subject to mediation in Lagos, Nigeria, and failing resolution within thirty (30) days, shall be referred to arbitration under the Lagos Court of Arbitration (LCA) rules.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Laboratory Technician services in Nigeria Lagos. This document constitutes a binding agreement upon execution by both parties.
