1. Description of Purchase

This Purchase Order is issued by Moscow State Research Institute (hereinafter referred to as the "Buyer") to MedLab Professional Staffing LLC (hereinafter referred to as the "Supplier") for the procurement and placement of a qualified Laboratory Technician to perform specialized diagnostic, analytical, and operational laboratory duties at the Buyer's primary research facility located in Russia Moscow. The Laboratory Technician shall be responsible for the preparation of biological and chemical samples, operation of analytical instrumentation, maintenance of laboratory equipment, documentation of experimental results, and compliance with all applicable Russian federal and municipal health and safety regulations governing laboratory operations in the Moscow metropolitan area.

3. Qualification Requirements for the Laboratory Technician

The Laboratory Technician engaged under this Purchase Order must hold a minimum of a secondary specialized education (college-level diploma) in laboratory sciences, clinical diagnostics, or a directly related field recognized by the Ministry of Education of the Russian Federation. The candidate must possess a minimum of three (3) years of documented professional experience in a clinical, pharmaceutical, or research laboratory environment. The Laboratory Technician must demonstrate proficiency in the operation of spectrophotometers, centrifuges, PCR machines, and automated hematology analyzers. Additionally, the Laboratory Technician must hold a valid medical clearance certificate issued by an authorized medical institution in Russia Moscow and must pass a background check in accordance with Russian Federal Law No. 152-FZ on personal data protection.

4. Terms and Conditions

4.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon execution by both parties. All services described herein shall be rendered exclusively at the Buyer's designated laboratory premises in Russia Moscow unless otherwise agreed in writing.

4.2 The Supplier guarantees that the Laboratory Technician assigned under this Purchase Order shall be fully compliant with all labor laws of the Russian Federation, including but not limited to the Labor Code of the Russian Federation (Federal Law No. 197-FZ). The Supplier shall bear full responsibility for the employment contract, social insurance contributions, and statutory benefits of the Laboratory Technician.

4.3 Payment terms: The Buyer shall remit payment within thirty (30) calendar days from the date of invoice issuance. Payment shall be made via bank transfer to the Supplier's designated account in the Russian Federation. All amounts are denominated in Russian Rubles (RUB) and are subject to the applicable value-added tax (VAT) rate of 20% as prescribed by the Tax Code of the Russian Federation.

4.4 The Supplier shall provide a replacement Laboratory Technician of equivalent or superior qualification within five (5) business days should the originally assigned Laboratory Technician become unavailable due to illness, resignation, or termination. The replacement shall be subject to the same qualification requirements specified in Section 3 of this Purchase Order.

4.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall be liable for all services rendered up to the effective date of termination, plus a termination fee equal to 10% of the remaining contract value.

4.6 All intellectual property, research data, and proprietary information generated or accessed by the Laboratory Technician during the course of employment under this Purchase Order shall remain the exclusive property of the Buyer. The Laboratory Technician shall be bound by a non-disclosure agreement (NDA) in accordance with Russian civil and commercial law.

4.7 Disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Moscow, Russia, in accordance with the rules of the Arbitration Court of the City of Moscow. The governing law of this agreement shall be the law of the Russian Federation.

4.8 The Supplier warrants that the Laboratory Technician shall adhere to all occupational health and safety standards mandated by the Ministry of Labor of the Russian Federation and the local Moscow municipal authority. Failure to maintain compliance shall constitute a material breach of this Purchase Order.

5. Service Commencement and Duration

The Laboratory Technician shall commence active service at the Russia Moscow facility no later than 1 July 2025. The initial engagement period under this Purchase Order shall be twelve (12) months, with the option for renewal by mutual written agreement of both parties no later than sixty (60) days prior to the expiration of the initial term.
