- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain, with specific reference to the labor and commercial regulations applicable in the Spain Valencia region (Comunitat Valenciana). Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Courts of Valencia.
- Qualification Requirements: All Laboratory Technician candidates placed under this Purchase Order must hold a minimum of a "Grado en Biología" or "Grado en Bioquímica" from an accredited Spanish university, or an equivalent "Técnico Superior en Laboratorio Clínico y Biomédico" qualification. Candidates must also demonstrate proficiency in both Spanish and English, as all laboratory documentation at the VBRI facility in Spain Valencia is maintained in both languages.
- Payment Terms: Payment shall be made via direct bank transfer (SEPA) within 30 calendar days of receipt of a valid invoice from MedLab Professional Staffing S.L. Invoices must reference this Purchase Order number (PO-VAL-2025-04872) and include the supplier's NIF. Late payments shall accrue interest at the rate established by the Spanish Ley 3/2004 on late payment in commercial transactions.
- Performance and Replacement: Should any Laboratory Technician placed under this order fail to meet the performance standards outlined in the VBRI's internal quality manual, or should the individual resign or be terminated for cause, MedLab Professional Staffing S.L. shall provide a qualified replacement Laboratory Technician within 15 business days at no additional cost to the Purchasing Entity.
- Compliance with Spanish Labor Law: The Supplier warrants that all Laboratory Technician personnel shall be employed in full compliance with the Spanish Estatuto de los Trabajadores (Royal Legislative Decree 2/2015), the applicable collective agreement for the laboratory and scientific research sector in Spain Valencia, and all relevant provisions of the Comunitat Valenciana's regional labor regulations.
- Confidentiality and Data Protection: All Laboratory Technician staff shall sign a non-disclosure agreement (NDA) and a data processing addendum in accordance with the EU General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection (LOPDGDD) before commencing work at the Spain Valencia facility.
- Health and Safety: The Supplier shall ensure that all Laboratory Technician personnel complete the mandatory occupational health and safety induction specific to the VBRI laboratory environment in Spain Valencia prior to their first day of work. This includes training on biosafety level 2 (BSL-2) protocols, chemical hazard handling, and emergency evacuation procedures.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Supplier shall cooperate fully in the transition of all Laboratory Technician personnel and ensure the orderly handover of all laboratory records, samples, and equipment in the Spain Valencia facility.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or strikes affecting the Spain Valencia region, provided that the affected party notifies the other in writing within 5 business days.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the provision of Laboratory Technician services at the VBRI facility in Spain Valencia. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
