This Purchase Order is issued by Midwest Diagnostics & Research Laboratories, Inc. to Lakefront Scientific Staffing Solutions, LLC for the recruitment, placement, and ongoing employment management of a qualified Laboratory Technician to be assigned to the buyer's facility located in United States Chicago, Illinois. The Laboratory Technician shall perform all duties consistent with the role as defined in the attached job description (Exhibit A), including but not limited to: preparation of chemical and biological samples, operation of spectrophotometers, centrifuges, and automated analyzers; maintenance of laboratory equipment and calibration logs; documentation of experimental results in compliance with CLIA and CAP accreditation standards; adherence to all OSHA safety protocols; and support of senior scientists in research and quality-control workflows. The Laboratory Technician must hold a minimum of an Associate's degree in Laboratory Science, Biology, or a related field, and possess at least two (2) years of hands-on experience in a clinical or research laboratory environment within the United States.

- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Vendor. The Vendor must return a signed copy of this Purchase Order within five (5) business days of receipt.
- Placement Guarantee: Lakefront Scientific Staffing Solutions, LLC guarantees the placement of a qualified Laboratory Technician within twenty-one (21) calendar days of the Purchase Order effective date. If the Laboratory Technician resigns or is terminated for cause within the first ninety (90) days, the Vendor shall provide a replacement at no additional cost to the Buyer.
- Compliance: The Laboratory Technician shall comply with all federal, state (Illinois), and local (City of Chicago) regulations, including but not limited to OSHA 29 CFR 1910, Illinois Department of Public Health laboratory standards, and Chicago Municipal Code Chapter 713 (Occupational Safety).
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) days of invoice date via ACH transfer to the Vendor's designated bank account in United States Chicago. Late payments shall accrue interest at 1.5% per month.
- Termination: Either party may terminate this Purchase Order agreement with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered through the termination date. The Vendor shall facilitate a smooth transition of the Laboratory Technician's records and responsibilities.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary laboratory data, patient information (HIPAA), and business information encountered during the term of this Purchase Order.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Illinois, United States. Any disputes shall be resolved through binding arbitration in United States Chicago, Illinois, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from acts of God, natural disasters, pandemics, government orders, or other events beyond reasonable control, provided written notice is given within forty-eight (48) hours.
