1. This Purchase Order constitutes a binding agreement between South Florida Clinical Diagnostics, Inc. and Allied Medical Staffing Solutions LLC for the provision of Laboratory Technician services at the designated facility in United States Miami, Florida.
2. The Laboratory Technician shall report to the Clinical Laboratory Director at 1200 Brickell Avenue, Miami, FL 33131, and shall adhere to all internal laboratory safety protocols, chain-of-custody procedures, and patient confidentiality standards governed by HIPAA and Florida Statute Chapter 395.
3. Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted on the last business day of each calendar month. Late payments shall accrue interest at 1.5% per month as permitted under Florida law.
4. The vendor guarantees that the Laboratory Technician placed under this Purchase Order shall maintain an active Florida State Laboratory Technician license throughout the contract term. Any lapse in licensure shall result in immediate replacement at no additional cost to the buyer.
5. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall provide a transition plan ensuring continuity of Laboratory Technician coverage for a minimum of fourteen (14) days.

All services rendered under this Purchase Order shall be performed in compliance with the Occupational Safety and Health Administration (OSHA) standards, the Florida Department of Business and Professional Regulation (DBPR) laboratory rules, and all applicable federal and local regulations in the Miami-Dade County jurisdiction.
7. This Purchase Order is governed by the laws of the State of Florida. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Miami, Florida, in accordance with the Florida Arbitration Code, Chapter 67 of the Florida Statutes.
8. The vendor shall indemnify and hold harmless South Florida Clinical Diagnostics, Inc. against any claims, damages, or liabilities arising from the negligence, misconduct, or unauthorized practice of the Laboratory Technician during the term of this Purchase Order.
