3. Description of Procured Service

This Purchase Order is issued by Instituto de Diagnóstico Clínico del Caribe, C.A. to formally request and authorize the recruitment, placement, and ongoing professional services of a qualified Laboratory Technician to be assigned to the Central Laboratory Services department located in Venezuela Caracas. The Laboratory Technician shall be responsible for performing a comprehensive range of diagnostic laboratory procedures, including but not limited to hematology analysis, clinical chemistry panels, urinalysis, microbiological culture and sensitivity testing, coagulation studies, and specimen processing and quality control. The Laboratory Technician must hold a minimum of a Bachelor's degree in Medical Technology, Clinical Laboratory Science, or an equivalent field recognized by the Venezuelan Ministry of Health (Ministerio del Poder Popular para la Salud) and must possess a valid professional registration (Cédula Profesional) issued by the Colegio de Médicos de Venezuela or the corresponding professional college for laboratory sciences.

The Laboratory Technician will be physically stationed at our facility in Venezuela Caracas, specifically at the Chacao medical complex, and will operate under the direct supervision of the Chief of Laboratory Operations. The position requires a standard work schedule of forty (40) hours per week, Monday through Friday, with the possibility of on-call rotation during peak diagnostic periods. The Laboratory Technician must demonstrate proficiency in operating automated analyzers (Sysmex, Roche Cobas, Beckman Coulter), maintaining laboratory information management systems (LIMS), and adhering to all biosafety protocols established by Venezuelan regulatory authorities.

5. Terms and Conditions
  1. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Service Provider for the procurement of Laboratory Technician professional services in Venezuela Caracas, effective from the date of mutual signature.
  2. The Laboratory Technician shall be subject to a ninety (90) day probationary period during which either party may terminate the engagement with fifteen (15) days written notice, in accordance with Venezuelan labor legislation (Ley Orgánica del Trabajo).
  3. Payment terms: Net 30 days from the date of invoice submission. All payments shall be made in United States Dollars (USD) via wire transfer to the bank account specified in Section 2, or in Venezuelan Bolívares (VES) at the official BCV exchange rate on the date of payment, at the Purchasing Entity's discretion.
  4. The Service Provider guarantees that the Laboratory Technician assigned to the Venezuela Caracas facility shall meet all qualifications, certifications, and health requirements stipulated by Venezuelan medical and laboratory regulations. Failure to meet these standards shall entitle the Purchasing Entity to immediate replacement at no additional cost.
  5. All intellectual property, patient data, and proprietary laboratory methodologies encountered by the Laboratory Technician during the course of employment in Venezuela Caracas shall remain the exclusive property of the Purchasing Entity. A Non-Disclosure Agreement (NDA) must be executed prior to the first day of service.
  6. This Purchase Order is governed by the commercial and labor laws of the Bolivarian Republic of Venezuela. Any disputes arising from this agreement shall be resolved through arbitration in Venezuela Caracas in accordance with the rules of the Centro de Arbitraje y Mediación de la Cámara de Comercio de Caracas.
  7. The Laboratory Technician shall be provided with all necessary personal protective equipment (PPE), laboratory reagents, and access to diagnostic instruments at the Venezuela Caracas facility at no additional charge to the technician.
  8. Force majeure events, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Venezuela Caracas, shall suspend obligations under this Purchase Order without penalty to either party for the duration of the event.
  9. This Purchase Order may be amended only by written addendum signed by both parties. No oral modifications shall be valid or enforceable.
6. Authorization and Acceptance

By signing below, both parties acknowledge and agree to all terms, conditions, and financial obligations outlined in this Purchase Order for the Laboratory Technician position in Venezuela Caracas.
