- Governing Law: This Purchase Order and all associated legal services shall be governed by and construed in accordance with the laws of the Republic of Argentina, specifically the Civil and Commercial Code of Argentina (Código Civil y Comercial de la Nación, Law 26.994) and the applicable regulations of the City of Buenos Aires. Any disputes arising from this Purchase Order shall be resolved exclusively by the competent courts of the City of Buenos Aires, Argentina.
- Professional Obligations of the Lawyer: The Lawyer, Dr. Mariana Lucía Vega, shall perform all legal services with the diligence, competence, and ethical standards required by the Estatuto del Abogado (Law 23.187) and the Code of Ethics of the Colegio de Abogados de la Ciudad de Buenos Aires. The Lawyer shall maintain full professional secrecy and confidentiality regarding all information pertaining to Meridian Corporate Holdings S.A.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made within thirty (30) calendar days of invoice receipt via bank transfer to the account designated by the Lawyer. Late payments shall accrue interest at the rate established by the Banco Central de la República Argentina.
- Scope Limitations: This Purchase Order covers only the legal services explicitly enumerated in Section 3. Any additional legal work requested by the Buyer beyond the stated scope shall require a written amendment to this Purchase Order, signed by both parties, prior to commencement of such additional services.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Buyer shall pay for all legal services rendered up to the effective date of termination. The Lawyer shall deliver all documents, files, and correspondence belonging to the Buyer within fifteen (15) days of termination.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. Should a conflict arise, the Lawyer shall immediately notify the Buyer in writing and shall withdraw from representation in accordance with Argentine professional regulations.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the City of Buenos Aires, Argentina.
- Confidentiality: All information exchanged in connection with this Purchase Order shall be treated as strictly confidential. The Lawyer shall not disclose any client information to third parties without prior written consent, except as required by Argentine law or court order.
- Compliance with Argentine Regulations: The Lawyer shall ensure that all legal services comply with current Argentine federal and municipal regulations, including those issued by the Poder Judicial de la Nación, the Ministerio de Justicia y Derechos Humanos, and the relevant regulatory bodies operating in Buenos Aires, Argentina.
