4.1 Scope of Engagement. This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Lawyer for the specific legal services described herein. The Lawyer shall exercise professional judgment in accordance with the ethical standards established by the Colegio de Abogados de la Provincia de Córdoba and the general principles of Argentine law.
4.2 Professional Independence. The Lawyer engaged under this Purchase Order shall act as an independent professional service provider and not as an employee or agent of Andes Corporate Solutions S.A. The Lawyer shall maintain strict professional confidentiality in accordance with Article 10 of the Código de Ética del Abogado de la Provincia de Córdoba.
4.3 Payment Schedule. Payment for services rendered under this Purchase Order shall be made in three (3) equal installments: (a) 40% upon execution of this Purchase Order; (b) 35% upon completion of the corporate restructuring filings before the Registro Público de Comercio de Córdoba; and (c) 25% upon delivery of the final legal opinion memorandum. All payments shall be made in Argentine Pesos (ARS) to the bank account designated by the Lawyer in Córdoba, Argentina.
4.4 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Lawyer shall be compensated for all services rendered up to the date of termination, as documented in a final invoice. The Purchasing Entity shall bear all court costs and administrative fees already incurred in the Province of Córdoba prior to the termination date.
4.5 Dispute Resolution. Any dispute arising from or in connection with this Purchase Order shall be resolved exclusively by the competent courts of the city of Córdoba, Province of Córdoba, Argentina. Both parties irrevocably submit to the jurisdiction of the Juzgados Civiles y Comerciales de la Ciudad de Córdoba and waive any objection based on forum non conveniens.
4.6 Applicable Law. This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Nation, with particular application of the provincial regulations of Córdoba, Argentina, including but not limited to the Código Civil y Comercial de la Nación, the Ley de Contrato de Trabajo, and the professional regulations of the Colegio de Abogados de la Provincia de Córdoba.
4.7 Force Majeure. Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the Province of Córdoba, Argentina.
By signing below, both parties acknowledge and agree to all terms, conditions, and service descriptions set forth in this Purchase Order. The Lawyer confirms acceptance of the engagement and commits to delivering the professional legal services described herein with the diligence and expertise expected of a licensed attorney practicing in Argentina Córdoba.
This Purchase Order is issued in two (2) original copies, one for each party, both having equal legal validity under Argentine law.
