  1. Governing Law: This Purchase Order and the legal services rendered under it shall be governed by and construed in accordance with the laws of the State of Queensland and the Commonwealth of Australia. Any disputes shall be resolved in the courts of Brisbane, Queensland, Australia.
  2. Professional Indemnity: The Lawyer and the law firm shall maintain professional indemnity insurance in a minimum amount of AUD $10,000,000 per claim, as required by the Law Society of Queensland, for the duration of this engagement.
  3. Confidentiality: The Lawyer shall maintain strict confidentiality over all information provided by the Buyer in accordance with the professional obligations set out in the Legal Profession Uniform Law Application Act 2014 (Qld) and the firm's internal privacy policies.
  4. Payment Terms: Invoices shall be issued monthly in arrears. Payment is due within 30 days of the invoice date via electronic funds transfer (EFT) to the firm's nominated bank account in Brisbane. Late payments shall attract interest at the rate prescribed under the Interest on Late Payments of Taxation Debts Act 1983 (Cth).
  5. Scope Limitation: The Lawyer's engagement is limited to the services described in Section 4. Any additional legal work beyond the stated scope requires a written amendment to this Purchase Order signed by both parties.
  6. Termination: Either party may terminate this Purchase Order with 30 days' written notice. Upon termination, the Buyer shall pay for all legal services rendered up to the date of termination at the rates specified herein.
  7. Complaints: Any complaints regarding the Lawyer's conduct or the quality of legal services shall be directed first to the Principal Solicitor at Harrington & Voss Lawyers, Brisbane. Unresolved complaints may be escalated to the Legal Services Commission of Queensland.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Brisbane region, acts of government, or pandemics.

This Purchase Order is issued in accordance with the internal procurement policies of Meridian Property Holdings Pty Ltd and constitutes a formal request for the engagement of the named Lawyer and legal firm in Brisbane, Australia.
