- Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Australia Melbourne, specifically the Supreme Court of Victoria.
- Lawyer's Obligations: The Lawyer shall perform all services with the skill, care, and diligence expected of a reasonably competent solicitor practising in Australia Melbourne. The Lawyer shall maintain strict confidentiality in accordance with the Legal Profession Uniform Law (Vic) 2014 and the Australian Solicitors' Conduct Rules 2012.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Lawyer. Invoices shall be submitted monthly in arrears. All payments shall be made via electronic funds transfer (EFT) to the bank account nominated by the Lawyer in writing.
- Engagement Period: This Purchase Order authorises legal services for a period of twelve (12) months commencing 1 July 2025 and expiring 30 June 2026, unless terminated earlier in accordance with Clause 7.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the engagement period. The Lawyer shall immediately notify the Purchaser in writing should any potential conflict emerge.
- Professional Indemnity: The Lawyer shall maintain professional indemnity insurance with a minimum coverage of AUD 10,000,000 per claim throughout the engagement period and shall provide a certificate of insurance upon request.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, less any unearned fees.
- Costs and Disbursements: All court filing fees, expert witness fees, travel expenses within Australia Melbourne, and other reasonable out-of-pocket disbursements shall be billed at cost with supporting receipts. - All correspondence relating to this Purchase Order shall be directed to the Lawyer's office at 120 Swanston Street, Melbourne, Victoria 3000, Australia, or via the email address specified in Section 2.
- The Lawyer shall provide a written progress report to the Purchaser's Corporate Legal & Compliance Division on the last business day of each calendar month.
- Any variation to the scope of services, hourly rates, or estimated hours under this Purchase Order must be documented in a written variation agreement signed by both parties before additional work commences.
- This Purchase Order does not constitute a retainer for unlimited legal services. All work beyond the estimated hours listed in Section 3 requires a separate written authorisation.
