This Purchase Order constitutes a binding agreement between Meridian Corporate Services Ltd. (hereinafter referred to as the "Client") and Advocate Md. Rahimul Hasan of Hasan & Associates Legal Chambers (hereinafter referred to as the "Lawyer") for the provision of legal services as described herein. Both parties are physically located and operating within Dhaka, Bangladesh.
The Lawyer shall render all professional legal services in strict compliance with the Bangladesh Legal Aid and Advice Committee (BLAAC) Code of Conduct, the Rules of the Bar Council of Bangladesh, and all applicable laws of the People's Republic of Bangladesh, including but not limited to the Companies Act, 1994, the Contract Act, 1872, and the Income Tax Ordinance, 1984.
Payment shall be made via bank transfer to the designated account of the Lawyer's firm at Sonali Bank PLC, Gulshan Branch, Dhaka, within thirty (30) calendar days from the date of receipt of a valid tax invoice. The Client reserves the right to withhold the applicable five percent (5%) withholding tax as mandated by the National Board of Revenue (NBR), Dhaka.
The Lawyer shall maintain strict confidentiality over all documents, trade secrets, and proprietary information of the Client in accordance with the professional ethical obligations of the Bar Council of Bangladesh. Any breach of confidentiality shall render the Lawyer liable for damages and disciplinary proceedings before the Bar Council.
All court appearances, filings, and legal proceedings shall be conducted at the relevant courts and government offices within Dhaka Division, Bangladesh, including but not limited to the Dhaka District Court, the Dhaka Divisional Court, the High Court Division of the Supreme Court of Bangladesh, and the Appellate Division.
The Lawyer shall submit a detailed written progress report to the Client's Legal Affairs Department on the last working day of each calendar month. Failure to submit the report for two consecutive months shall entitle the Client to terminate this Purchase Order with immediate effect upon fourteen (14) days' written notice.
Any dispute arising out of or in connection with this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh. The seat of arbitration shall be Dhaka, and the language of arbitration shall be English. The arbitral award shall be final and binding upon both parties.
This Purchase Order is governed by and shall be construed in accordance with the laws of the People's Republic of Bangladesh. The courts of Dhaka, Bangladesh shall have exclusive jurisdiction over any matters not subject to arbitration.
The Lawyer warrants that he/she is duly registered and in good standing with the Bar Council of Bangladesh and holds a valid practicing certificate for the current year. The Client reserves the right to verify the Lawyer's registration status at any time during the engagement period.
This Purchase Order may be amended or modified only by a written addendum signed and stamped by both parties. No oral modification shall be valid or enforceable under any circumstances.

All services under this Purchase Order shall be performed at the offices of the Client located at House 42, Road 11, Banani, Dhaka-1213, Bangladesh, or at such other locations within Dhaka as mutually agreed upon in writing. Court appearances and government filings shall take place at the respective judicial and administrative offices in Dhaka as required by the nature of the legal matter.
