- Scope of Engagement: The Lawyer and the firm of Dr. Helena Vasconcelos & Associados Advocacia shall perform all legal services described herein with the utmost professional diligence, in full compliance with the ethical code of the OAB/DF and all applicable Brazilian federal and District Federal statutes. The engagement is limited to the jurisdiction of Brasília, Distrito Federal, and the federal courts seated therein, unless otherwise agreed in writing.
- Confidentiality: The Lawyer shall maintain strict confidentiality over all information, documents, and trade secrets disclosed by the Buyer in connection with this Purchase Order. This obligation shall survive the termination of this engagement for a period of five (5) years.
- Payment Schedule: Invoices shall be issued monthly for retainer-based services (Items 01 and 05) and upon completion of discrete deliverables for project-based services (Items 02, 03, and 04). Payment shall be made via bank transfer (TED/PIX) to the account designated by the Lawyer within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate of 1% per month plus a 2% penalty, in accordance with Brazilian commercial practice.
- Deliverables and Reporting: The Lawyer shall provide written progress reports to the Buyer on the 5th business day of each month, detailing all actions taken, court filings made, and anticipated next steps. All court documents, legal opinions, and correspondence shall be delivered in both Portuguese (the official language of Brazil) and English (for the Buyer's internal records).
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination. The Buyer shall not be liable for future retainer fees beyond the termination date.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by arbitration seated in Brasília, Distrito Federal, Brazil, under the rules of the Câmara de Arbitragem do Centro Brasileiro de Arbitragem (CBAR). The arbitration shall be conducted in Portuguese, and the arbitrator's decision shall be final and binding.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, particularly the Brazilian Civil Code (Law No. 10,406/2002) and the Brazilian Code of Civil Procedure (Law No. 13,105/2015). The exclusive jurisdiction for any non-arbitrable matters shall be the courts of Brasília, Distrito Federal.
- Professional Liability: The Lawyer shall maintain professional liability insurance (seguro de responsabilidade civil profissional) with a minimum coverage of R$ 500,000.00, as required by OAB/DF regulations. A certificate of insurance shall be provided to the Buyer upon request.
- Anti-Corruption: The Lawyer warrants that no part of the fees under this Purchase Order shall be used to offer, pay, or facilitate any improper payment to any public official in Brasília, DF, or elsewhere in Brazil, in compliance with the Brazilian Clean Companies Act (Law No. 12,846/2013).
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of services set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of legal services by a qualified Lawyer in Brasília, Distrito Federal, Brazil.
