This Purchase Order is issued by Atlântico Comércio e Serviços Ltda. (hereinafter referred to as the "Purchaser") to formally engage the services of Dr. Ricardo Almeida Santos, a duly licensed Lawyer registered with the Ordem dos Advogados do Brasil – Seção Rio de Janeiro (OAB/RJ), for the provision of comprehensive legal counsel and representation. The engagement of this Lawyer is strictly governed by the professional standards, ethical codes, and regulatory requirements established by the Brazilian Bar Association and applicable federal and state legislation in force in Rio de Janeiro, Brazil.

The scope of legal services to be rendered by the Lawyer under this Purchase Order includes, but is not limited to, the following:

All payments under this Purchase Order shall be made in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the account designated by the Lawyer. The payment schedule is structured as follows:

• 30% advance payment (R$ 47,100.00) due within 5 business days of the acceptance of this Purchase Order by the Lawyer.
• 40% interim payment (R$ 62,800.00) due upon completion of the first six months of the engagement period.
• 30% final payment (R$ 47,100.00) due upon full completion of all services outlined in Section 3 of this Purchase Order.

Late payments shall incur a monthly interest rate of 1% (one percent) in accordance with Brazilian civil law provisions. All applicable taxes, including ISS (Imposto Sobre Serviços) levied by the Municipality of Rio de Janeiro, shall be borne by the Purchaser as stipulated in the local tax code.

1. The Lawyer shall maintain full professional confidentiality regarding all information, documents, and strategies disclosed by the Purchaser in connection with this Purchase Order, in strict compliance with the Brazilian Code of Professional Conduct for Lawyers (Estatuto da Advocacia e a OAB – Lei Federal nº 8.906/1994).
2. The Lawyer shall dedicate a minimum of 20 hours per week to the matters covered under this Purchase Order and shall be physically available at the office located in Rio de Janeiro, Brazil, during standard business hours (Monday to Friday, 09:00 to 18:00 BRT).
3. All legal opinions, memoranda, and written communications produced by the Lawyer under this Purchase Order shall be delivered in Portuguese, the official language of Brazil, and shall be formatted in accordance with the procedural rules of the courts and administrative bodies in Rio de Janeiro.
4. The Lawyer warrants that he holds a valid and active registration with the OAB/RJ and is in good standing with no disciplinary proceedings pending before the Brazilian Bar Association as of the date of this Purchase Order.
5. Either party may terminate this Purchase Order with 30 days' prior written notice. In the event of early termination, the Purchaser shall be liable for all services rendered up to the date of termination, as itemized by the Lawyer.
6. This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, for the resolution of any disputes arising from or in connection with this Purchase Order.
