- Scope of Engagement: This Purchase Order authorizes the Lawyer, Almeida & Rocha Advocacia Associada, to provide the legal services described in the line items above. The engagement is governed by the professional ethics code of the Ordem dos Advogados do Brasil (OAB), Seção São Paulo, and the Brazilian Civil Code. The Lawyer shall act with the utmost diligence, confidentiality, and professional competence expected of a licensed attorney practicing in the state of São Paulo.
- Confidentiality & Attorney-Client Privilege: All information exchanged under this Purchase Order shall be treated as strictly confidential. The Lawyer acknowledges that all communications, documents, and work product are protected by attorney-client privilege under Brazilian law (Código de Processo Civil, Art. 189) and the OAB Code of Ethics. No disclosure to third parties is permitted without the prior written consent of Meridian Corporate Holdings Ltda., except as required by a court order from the judiciary of São Paulo.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding month. Payment shall be made via TED (Transferência Eletrônica Disponível) to the bank account designated by the Lawyer within 30 calendar days of the invoice date. Late payments shall accrue interest at the rate of 1% per month plus monetary correction per the IGP-M index, as is standard practice in São Paulo commercial transactions.
- Performance Standards: The Lawyer shall respond to all written inquiries within 24 business hours and shall provide a written status report at the end of each calendar month. Failure to meet the agreed deliverable timelines without prior written justification shall entitle the Buyer to a 5% reduction in the corresponding line item fee for that period.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all client documents and work product within 10 business days of termination.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the rules of the CAM-CCBC (Câmara de Arbitragem do Centro de Comércio Brasil-Canadá), seated in the city of São Paulo, State of São Paulo, Brazil. The arbitration shall be conducted in the Portuguese language, and the award shall be final and enforceable under the New York Convention.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, with specific reference to the legal framework of the State of São Paulo. The courts of the city of São Paulo, SP, Brazil, shall have exclusive jurisdiction for any matters not subject to arbitration.
- Professional Liability Insurance: The Lawyer shall maintain professional liability insurance (Seguro de Responsabilidade Profissional) with a minimum coverage of R$ 500.000,00, issued by an insurer licensed by the Superintendência de Seguros Privados (SUSEP) in Brazil, for the entire duration of this Purchase Order.
- Data Protection: In compliance with the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados — LGPD, Lei nº 13.709/2018), the Lawyer shall implement appropriate technical and organizational measures to protect any personal data processed in the course of providing services under this Purchase Order. A Data Processing Agreement (DPA) shall be executed as an annex to this document.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, government actions, pandemics, or strikes affecting the city of São Paulo, provided that the affected party gives prompt written notice within 48 hours of the occurrence.
