This Purchase Order is issued by Meridian Corporate Solutions Inc.   1. Engagement of the Lawyer: The Lawyer is hereby engaged as independent professional counsel to the Client. This Purchase Order does not create a partnership, joint venture, or employment relationship between the parties. The Lawyer shall exercise independent professional judgment in the performance of all legal services.
  2. Professional Standards: The Lawyer shall perform all services in accordance with the Code of Professional Conduct of the Barreau du Québec, the rules of the Law Society of Canada, and all applicable Canadian federal and provincial statutes. The Lawyer shall maintain professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence.
  3. Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, and communications received in connection with this Purchase Order, in accordance with the solicitor-client privilege recognized under Canadian law and the Privacy Act (Canada) and Act respecting the protection of personal information in the private sector (Quebec).
  4. Language of Services: In accordance with the Charter of the French Language (Quebec), all legal documents, correspondence, and court filings prepared by the Lawyer shall be provided in French, or in both French and English where the Client's operations require bilingual documentation. All services rendered in Montreal, Quebec, Canada shall respect the linguistic requirements of the applicable jurisdiction.
  5. Payment: The Client shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Lawyer. Payment shall be made by electronic funds transfer (EFT) to the bank account designated by the Lawyer. Late payments shall accrue interest at the rate prescribed under the Interest Act (Canada).
  6. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through mediation in Montreal, Quebec, Canada, in accordance with the Act respecting mediation (Quebec). If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the Superior Court of Quebec, Montreal Division.
  7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil law of the Province of Quebec, Canada, and the applicable federal laws of Canada.
  8. Termination: Either party may terminate this Purchase Order upon thirty (30) days' written notice. Upon termination, the Client shall pay for all legal services rendered up to the date of termination. The Lawyer shall return all Client documents and files within fourteen (14) days of termination.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the City of Montreal or the Province of Quebec, Canada.

This Purchase Order is issued and authorized by the undersigned on behalf of Meridian Corporate Solutions Inc. The Lawyer acknowledges receipt of this Purchase Order and agrees to perform the legal services described herein in full compliance with the terms and conditions set forth above. By signing below, both parties confirm their mutual agreement to the terms of this Purchase Order for legal services to be rendered in Montreal, Quebec, Canada.
