- Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by the Lawyer within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order void.
- Scope Limitation: The Lawyer shall provide all services exclusively within the jurisdiction of Vancouver, British Columbia, Canada, unless otherwise agreed in writing. Any services rendered outside the Vancouver metropolitan area shall be subject to a separate amendment to this Purchase Order.
- Professional Standards: The Lawyer shall perform all duties in accordance with the Code of Professional Conduct of the Law Society of British Columbia and all applicable statutes of Canada, including but not limited to the Legal Profession Act (SBC 1998, c. 313).
- Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information disclosed by the Purchasing Entity in connection with this Purchase Order, in compliance with the Privacy Act (Canada) and the Personal Information Protection Act (PIPA) of British Columbia.
- Payment Terms: Payment shall be made in Canadian Dollars (CAD) within thirty (30) days of receipt of a valid invoice from the Lawyer. Invoices must reference this Purchase Order number (PO-VAN-2025-04872) and include a detailed breakdown of hours worked and services rendered.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through mediation in Vancouver, Canada, in accordance with the Mediation Act (SBC 2010, c. 14). If mediation fails, the matter shall be submitted to binding arbitration under the Arbitration Act (SBC 1991, c. 55) with the seat of arbitration in Vancouver, British Columbia.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Vancouver region, government orders, or pandemics declared under the Emergency Management Act (SBC 2003, c. 10).
- Compliance with Canadian Law: All services rendered under this Purchase Order shall comply with the laws of Canada, the Province of British Columbia, and the City of Vancouver, including all applicable tax obligations under the Goods and Services Tax (GST) and Harmonized Sales Tax (HST) regulations administered by the Canada Revenue Agency.
