- Acceptance: This Purchase Order shall become binding upon written acceptance by the Lawyer and Beijing Capital Law Partners LLP. Acceptance must be returned to the issuing entity within five (5) business days of the date of issue.
- Scope Limitation: The Lawyer shall perform all services in strict accordance with the scope described in Section 2. Any additional services beyond this Purchase Order shall require a written amendment signed by both parties.
- Payment Terms: Payment shall be made in RMB (CNY) via bank transfer to the firm's designated account. The monthly retainer (Item 01) is payable on the 5th business day of each month. Project-based fees (Items 02–04, 06) are payable 50% upon engagement and 50% upon completion. Hourly fees (Item 05) are invoiced monthly in arrears.
- Confidentiality: The Lawyer and all associated personnel shall maintain strict confidentiality of all information disclosed in connection with this Purchase Order. This obligation survives termination of the engagement for a period of five (5) years, in compliance with the Attorney-Client Privilege provisions under the Lawyers Law of the People's Republic of China.
- Compliance with Chinese Law: All services rendered under this Purchase Order shall comply with the laws and regulations of the People's Republic of China, including but not limited to the Lawyers Law, the Civil Code, and all applicable regulations of the Beijing Municipal Justice Bureau governing legal practice in China Beijing.
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. The Lawyer shall immediately notify the issuing entity in writing should any potential conflict emerge.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the issuing entity shall pay for all services rendered up to the effective date of termination. The retainer fee for the final month shall be prorated.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the People's Republic of China. Any dispute arising from or in connection with this Purchase Order shall be submitted to the Beijing Arbitration Commission (BAC) for arbitration in China Beijing in accordance with its then-current arbitration rules. The arbitral award shall be final and binding.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting operations in China Beijing.
- Entire Agreement: This Purchase Order, together with any attached schedules and the firm's standard engagement letter, constitutes the entire agreement between the parties regarding the engagement of the Lawyer for the services described herein.
