2. Payment Terms: Payment shall be made in Colombian Pesos (COP) via bank transfer to the account designated by the Lawyer's firm. Invoices are due within thirty (30) calendar days from the date of receipt. Late payments shall accrue interest at the rate established by the Banco de la República de Colombia.
3. Place of Performance: All services under this Purchase Order shall be rendered primarily at the offices of the Lawyer located in Bogotá D.C., Colombia, or at the premises of Andina Corporations S.A.S. in the Zona Rosa district of Bogotá, as mutually agreed.

5. Professional Standards: The Lawyer engaged under this Purchase Order shall be a duly licensed attorney in good standing with the Colegio de Abogados de Bogotá and shall comply with all ethical and professional standards mandated by the Colombian legal system.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination.
7. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through mediation before the Centro de Conciliación de la Cámara de Comercio de Bogotá, and failing mediation, through the competent civil courts of Bogotá D.C., Colombia.
8. Applicable Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia, including but not limited to the Colombian Civil Code, the Colombian Commercial Code, and all applicable regulations of the city of Bogotá D.C.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting Bogotá, Colombia.
10. Entire Agreement: This Purchase Order, together with any attached exhibits and the engagement letter signed by the Lawyer, constitutes the entire agreement between the parties regarding the scope of legal services to be provided in Colombia, Bogotá.
