This Purchase Order authorizes the engagement of the above-referenced Lawyer to provide comprehensive legal advisory and representation services to Grupo Andino Corporativo S.A.S. - Payment shall be made via electronic bank transfer (transferencia electrónica) to the account designated by the Lawyer in writing.
- Monthly retainer fees (Item 01) are payable within fifteen (15) calendar days from the end of each calendar month, with a supporting invoice (factura electrónica) issued in accordance with the DIAN electronic invoicing regulations in Colombia.
- Lump-sum items (Items 02, 04, 05) are payable in two installments: fifty percent (50%) upon execution of this Purchase Order and fifty percent (50%) upon satisfactory completion and written acceptance of deliverables.
- Hourly consultations (Item 06) are billed monthly with a detailed time sheet. Invoices are due within ten (10) business days of receipt.
- All amounts are quoted in Colombian Pesos (COP). No foreign currency conversion shall apply.
- Late payments shall accrue interest at the maximum rate established by the Superintendencia Financiera de Colombia.
- Confidentiality: The Lawyer shall maintain strict confidentiality over all information, documents, and trade secrets of Grupo Andino Corporativo S.A.S., in accordance with the professional secrecy obligations under the Colombian Code of Professional Conduct for Lawyers (Código de Ética y Disciplina del Abogado).
- Conflict of Interest: The Lawyer warrants that no conflict of interest exists or will arise during the term of this Purchase Order. Any potential conflict must be disclosed in writing within five (5) business days of identification.
- Compliance: All services shall comply with the regulations of the Consejo Superior de la Judicatura, the Superintendencia de Sociedades, and applicable Antioquia departmental ordinances governing legal practice in Medellín.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall deliver all work product and files to the client within ten (10) business days.
- Governing Law & Jurisdiction: This Purchase Order shall be governed by the laws of the Republic of Colombia. Any dispute arising herefrom shall be submitted to the competent civil and commercial courts of Medellín, Antioquia, or to arbitration before the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Medellín, at the election of the client.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates, or judicial suspensions declared in the jurisdiction of Medellín.
- Subcontracting: The Lawyer shall not subcontract any portion of the services without prior written consent from the issuing entity.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of legal services as described herein. The Lawyer confirms availability to commence services no later than June 20, 2025, and agrees to all terms stated in this document.
