This Purchase Order is issued by SACI to engage the services of a qualified Lawyer and legal team based in DR Congo Kinshasa to provide comprehensive legal counsel and representation in connection with the following matters:

03 Commercial Litigation Representation Full representation before the Tribunal de Commerce de Kinshasa and, if necessary, the Cour d'Appel de Kinshasa in pending dispute No. TC/KIN/2025/0234 involving a breach of supply contract. Until final judgment 22,000.00
04 Intellectual Property Registration Filing and registration of three (3) trademarks and one (1) patent with the Office Congolais de la Propriété Intellectuelle (OCPI) in Kinshasa. 6 months 6,500.00

All payments under this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account of the Lawyer's firm as follows:

  1. Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Democratic Republic of Congo, particularly the Civil Code, the Commercial Code, and the Ordinance-Law n° 80-014 of 20 January 1980 on the legal profession in DR Congo Kinshasa.
  2. Professional Ethics: The Lawyer shall comply at all times with the Code of Professional Ethics of the Barreau de Kinshasa and the rules of the Ordre des Avocats de la République Démocratique du Congo. Any conflict of interest must be disclosed in writing prior to commencement of services.
  3. Confidentiality: All information, documents, and communications exchanged in the course of this engagement are strictly confidential. The Lawyer shall maintain attorney-client privilege as recognized under Congolese law and shall not disclose any proprietary information of SACI to third parties without prior written consent.
  4. Performance Standards: The Lawyer shall dedicate a minimum of twenty (20) professional hours per month to the matters outlined in Section 3. A detailed time-and-activity report shall be submitted to the Buyer on the last business day of each month.
  5. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to amicable negotiation for a period of thirty (30) days. Failing resolution, the dispute shall be referred to the competent courts of Kinshasa, DR Congo, or, at the Buyer's election, to arbitration under the rules of the Centre d'Arbitrage de Kinshasa.
  6. Termination: Either party may terminate this Purchase Order by providing sixty (60) days' written notice. In the event of termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and all work-in-progress shall be handed over to the Buyer.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to civil unrest, government sanctions, natural disasters, or pandemics affecting operations in DR Congo Kinshasa.
  8. Anti-Corruption: The Lawyer warrants that no part of the fees under this Purchase Order shall be used for any corrupt, fraudulent, or illegal purpose in accordance with the anti-corruption legislation of the Democratic Republic of Congo.
  9. Language: All legal documents, filings, and correspondence produced under this Purchase Order shall be prepared in French, the official language of the Democratic Republic of Congo, with English translations provided for the Buyer's internal records where necessary.
  10. Validity: This Purchase Order is valid for a period of ninety (90) days from the date of issue. If not executed within this period, it shall lapse and require re-issuance.

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of legal services in DR Congo Kinshasa. The Lawyer confirms availability, professional qualifications, and willingness to perform all services as described herein.
