1. Description of Legal Services ProcuredThis Purchase Order is issued by Mediterranean Commercial Holdings S.A.E., a company duly registered and operating in Alexandria, Egypt, to engage the services of Adv. Dr. Mona Fathy Abdel-Rahman, a licensed Lawyer registered with the Alexandria Bar Association, for the provision of comprehensive legal counsel and representation. The Lawyer shall act as the primary legal representative of the Purchasing Entity in all matters pertaining to the following scope of work:

- Engagement of the Lawyer: The Lawyer named herein is engaged exclusively for the services described in this Purchase Order. The Lawyer shall not delegate any portion of the work to a third party without prior written consent from the Purchasing Entity. The Lawyer confirms full registration and good standing with the Alexandria Bar Association and the Egyptian Bar Union as of the date of this Purchase Order.
- Confidentiality: The Lawyer shall maintain strict confidentiality over all documents, trade secrets, and business information of the Purchasing Entity in accordance with the Egyptian Code of Professional Conduct for Lawyers and applicable data protection regulations. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Payment Schedule: A retainer payment of fifty percent (50%) of the total contracted fee, amounting to EGP 193,800, shall be remitted via bank transfer to the Lawyer's designated account within ten (10) business days of the execution of this Purchase Order. The remaining fifty percent (50%) shall be due within fifteen (15) business days following the delivery and acceptance of the final deliverable for the last service item.
- Expenses and Court Costs: All court filing fees, stamp duties, notary fees, and third-party expert witness costs incurred in Alexandria, Egypt, shall be borne by the Purchasing Entity and are not included in the Lawyer's professional fees stated above. The Lawyer shall submit itemized receipts for all such out-of-pocket expenses.
- Performance and Reporting: The Lawyer shall provide a written progress report to the Procurement Director of the Purchasing Entity on a bi-weekly basis. Any material development in the litigation matter (Item 2) shall be communicated within twenty-four (24) hours of occurrence.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Lawyer shall be compensated for all services rendered up to the termination date, and all work product shall be delivered to the Purchasing Entity.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any dispute arising herefrom shall be submitted to the competent courts of Alexandria, Egypt, or, at the mutual election of the parties, to arbitration administered by the Alexandria Chamber of Commerce and Industry in accordance with its rules.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government shutdowns, natural disasters affecting the Alexandria region, or judicial system closures declared by the Egyptian Ministry of Justice.
- Compliance: The Lawyer warrants that all services rendered under this Purchase Order shall comply with all applicable Egyptian laws, regulations, and the ethical standards of the Alexandria Bar Association. The Lawyer shall not engage in any conflict of interest that would impair the faithful representation of the Purchasing Entity.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of legal services in Alexandria, Egypt. The Lawyer accepts the scope of work, fees, and terms set forth herein and commits to performing the services with the diligence and professional competence expected of a licensed Lawyer in the jurisdiction of Alexandria.
