4. Terms and Conditions
- Governing Law: This Purchase Order and all legal services rendered under it shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, including the Egyptian Civil Code, the Egyptian Commercial Code, and the regulations of the Egyptian Bar Association applicable to the Cairo jurisdiction.
- Professional Conduct: The Lawyer shall adhere to the Code of Professional Ethics issued by the Egyptian Bar Association, Cairo Branch. Any breach of professional confidentiality or ethical standards shall constitute grounds for immediate termination of this Purchase Order without penalty to the Buyer.
- Payment Schedule: Payment shall be made in three installments: 40% upon execution of this Purchase Order, 40% upon completion of the primary litigation and arbitration milestones, and 20% upon final delivery of all legal documents and opinions. All payments shall be made via bank transfer to the Lawyer's designated account at a licensed Egyptian bank in Cairo.
- Confidentiality: The Lawyer shall maintain strict confidentiality over all documents, trade secrets, and business information of the Buyer in accordance with Article 10 of the Egyptian Bar Association Bylaws. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to amicable negotiation in Cairo. Failing resolution within thirty (30) days, the dispute shall be referred to the Cairo Regional Centre for International Commercial Arbitration (CRCICA) in accordance with its Arbitration Rules. The seat of arbitration shall be Cairo, Egypt, and the language of proceedings shall be Arabic.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-mandated closures of courts in Cairo, natural disasters, or acts of war, as defined under Egyptian law.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice delivered to the other party's registered address in Cairo. Upon termination, the Buyer shall pay for all legal services rendered up to the date of termination.
- Compliance with Egyptian Regulations: The Lawyer warrants that all services shall comply with the regulations of the Egyptian Capital Market Authority (where applicable), the Egyptian Competition Authority, and all relevant Cairo municipal and national legal requirements.
- Language of Documents: All legal opinions, contracts, and court filings prepared under this Purchase Order shall be produced in Arabic as the primary language, with English translations provided where expressly requested by the Buyer.
- Anti-Corruption: Both parties affirm compliance with Egyptian Anti-Corruption Law No. 81 of 2016. No kickbacks, bribes, or improper payments shall be made in connection with this Purchase Order.
5. Acceptance and Authorization
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Lawyer for the legal services described herein, to be performed within the jurisdiction of Cairo, Egypt. This document is issued in two (2) original copies, one for each party, both bearing equal legal validity under Egyptian law.
