This Purchase Order is issued by Société Rhône-Alpes Industries SAS (hereinafter referred to as the "Buyer") to Maître Claire Fontaine and the law firm Cabinet Fontaine & Associés (hereinafter referred to as the "Lawyer" or "Legal Service Provider") for the provision of comprehensive legal services to be rendered in Lyon, France, and throughout the Auvergne-Rhône-Alpes region. The Lawyer shall act in accordance with the professional rules governing the Barreau de Lyon and the French Code of Civil Procedure (Code de procédure civile), as well as the ethical obligations set forth in the Règlement Intérieur National de la Profession d'Avocat (RINPA).
The Buyer hereby formally requests and authorizes the Lawyer to perform the following legal services, all to be conducted in the city of Lyon, France, or at such other locations within the Rhône department as may be necessary for the proper execution of the engagement:

Note: All amounts are expressed in Euros (EUR). The applicable French Value Added Tax (TVA) rate of 20% is applied in accordance with Article 278 of the French General Tax Code (Code général des impôts). The Lawyer is registered for French VAT purposes.
Payment for the legal services described herein shall be made by bank transfer (virement bancaire) to the account of the Lawyer as follows: Banque: Crédit Mutuel du Sud-Est, IBAN: FR76 1027 8000 0012 3456 7890 123, BIC: CMEGFRPP. Invoices issued by the Lawyer shall be payable within thirty (30) calendar days from the date of receipt of a valid invoice, in accordance with the statutory payment terms under Article L.441-10 of the French Commercial Code. Late payment shall incur statutory interest at the rate prescribed by Article L.441-10 of the Code de commerce, plus a fixed indemnity of forty euros (€40.00) for recovery costs.
This Purchase Order and all legal services rendered under it shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising out of or in connection with this Purchase Order, including any question regarding its existence, validity, or termination, shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Lyon, located at 12 Rue du Président Edouard Herriot, 69002 Lyon, France. The parties acknowledge that the Lawyer is a member of the Barreau de Lyon and is subject to the disciplinary jurisdiction of the Conseil de Discipline de l'Ordre des Avocats du Barreau de Lyon.
The Lawyer undertakes to perform all services with the diligence, competence, and professional care expected of a qualified avocat at the Barreau de Lyon. The Lawyer shall maintain strict professional secrecy (secret professionnel) in accordance with Article 66-5 of the Loi du 31 décembre 1971 relative à la profession d'avocat and the RINPA. The Lawyer shall not disclose any confidential information pertaining to the Buyer to any third party without prior written consent, except where required by French law or court order. The Lawyer's professional liability is covered by the insurance policy referenced above, with a minimum coverage of €1,500,000 per claim.
Either party may terminate this Purchase Order by providing thirty (30) days' written notice by registered letter with acknowledgment of receipt (lettre recommandée avec accusé de réception) to the address of the other party in Lyon. In the event of early termination, the Buyer shall be liable for all legal services rendered up to the date of termination, plus any non-recoverable third-party costs (frais de greffe, frais d'expertise) already incurred by the Lawyer in Lyon.
