This Purchase Order is issued by the Purchasing Entity to formally engage the services of the above-named Lawyer, Me. Claire Fontaine, a duly registered Lawyer at the Barreau de Paris, for the provision of comprehensive legal counsel and representation. The engagement of this Lawyer is necessitated by the Purchasing Entity's ongoing commercial disputes, contractual negotiations, and regulatory compliance matters arising within the jurisdiction of France Paris and the broader French legal framework.
The Lawyer shall provide the following specific services under this Purchase Order:
- Commercial Litigation Representation: Full representation of the Purchasing Entity before the Tribunal de Commerce de Paris and the Tribunal Judiciaire de Paris in connection with three (3) pending commercial disputes involving contract breach claims, with total disputed value exceeding €2,400,000. The Lawyer shall prepare all pleadings, file motions, attend hearings, and conduct oral arguments in France Paris courts.
- Contractual Drafting and Review: The Lawyer shall draft, review, and negotiate no fewer than twelve (12) commercial contracts, including supply agreements, service-level agreements, and non-disclosure agreements, all governed by French law and enforceable within France Paris.
- Regulatory Compliance Advisory: Ongoing advisory services to ensure the Purchasing Entity's operations in France Paris comply with applicable French commercial law, the Code de commerce, data protection regulations (RGPD/GDPR), and labor law provisions as administered by the relevant authorities in Paris.
- Corporate Governance Counsel: The Lawyer shall attend all board meetings of the Purchasing Entity held in Paris, provide written legal opinions, and advise on corporate restructuring matters in accordance with French corporate law (Code de commerce, Livre II).
- Intellectual Property Protection: Filing and prosecution of two (2) trademark applications before the INPI (Institut National de la Propriété Industrielle) in Paris, and defense against one (1) pending IP infringement claim.

Payment terms: Net 30 days from invoice date. Invoices shall be issued monthly by the Lawyer's firm and submitted to the Purchasing Entity's accounts payable department in Paris. All payments shall be made via bank transfer to the RIB account specified in Section 1. The Lawyer shall provide a detailed time-and-expense report accompanying each invoice, in compliance with the Règlement Intérieur du Barreau de Paris.
4. TERMS AND CONDITIONS- 4.1 This Purchase Order is governed by and shall be construed in accordance with the laws of the French Republic, specifically the provisions of the Code civil, the Code de commerce, and the Décret n° 2005-790 relating to the legal profession in France.
- 4.2 The Lawyer shall maintain professional liability insurance (assurance réponse civile professionnelle) with a minimum coverage of €1,000,000 per claim, as required by the Barreau de Paris. A certificate of insurance shall be provided upon request.
- 4.3 The Lawyer is bound by the professional secrecy (secret professionnel) as defined in Article 66-5 of the Décret n° 2005-790 and shall not disclose any confidential information pertaining to the Purchasing Entity to any third party without prior written consent.
- 4.4 The Purchasing Entity reserves the right to terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall be compensated for all services rendered and expenses incurred up to the effective date of termination.
- 4.5 All disputes arising from this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Paris, France Paris, in accordance with French procedural law.
- 4.6 The Lawyer shall not engage in any conflict of interest. The Lawyer warrants that no other client of the Cabinet Fontaine & Associés has an interest adverse to the Purchasing Entity in the matters covered by this Purchase Order.
- 4.7 This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Lawyer for the services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in France Paris.
By signing below, the authorized representatives of both parties acknowledge and accept all terms, conditions, and financial obligations set forth in this Purchase Order for the engagement of the Lawyer in France Paris.
