This Purchase Order is issued by Meridian Corporate Solutions GmbH (hereinafter referred to as the "Client") to formally request and authorize the engagement of a qualified Lawyer (Rechtsanwalt) for the provision of comprehensive legal advisory and representation services. This Purchase Order is governed by the laws of the Federal Republic of Germany and is to be executed within the jurisdiction of Germany Berlin. The Lawyer engaged under this Purchase Order shall be a duly licensed attorney admitted to the Berlin Bar Association (Rechtsanwaltskammer Berlin) and shall perform all duties in accordance with the Federal Lawyers' Act (Bundesrechtsanwaltsordnung, BRAO) and the Professional Rules of German Lawyers (Berufsordnung für Rechtsanwälte, BORA).

3.1 Acceptance. This Purchase Order shall become a binding contract upon written acceptance by the Lawyer or the law firm Vogel & Brandt Rechtsanwälte PartG mbB. Acceptance must be communicated in writing (email to [email protected]) within ten (10) business days of the date of issue. Failure to respond within this period shall be deemed a rejection of this Purchase Order.
3.2 Professional Standards. The Lawyer shall perform all services with the diligence and competence expected of a reasonably prudent attorney practicing in Germany Berlin. The Lawyer shall comply with all ethical obligations set forth in the BORA and the BRAO, including the duty of confidentiality (Schweigepflicht) under Section 43a BRAO.
3.3 Payment Terms. Invoices issued by the Lawyer under this Purchase Order shall be payable within thirty (30) calendar days of receipt of a valid invoice. Payment shall be made via bank transfer to the account designated by the law firm. Late payments shall accrue interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB).
3.4 Cost Transparency. The Lawyer shall provide the Client with a detailed written cost estimate (Kostenvoranschlag) prior to commencing any service item listed in Section 2. Any deviation exceeding fifteen percent (15%) of the estimated fee for a single service item requires prior written approval from the Client.
3.5 Jurisdiction and Governing Law. This Purchase Order and any disputes arising herefrom shall be governed by the substantive laws of the Federal Republic of Germany. The exclusive place of jurisdiction for any litigation shall be the competent court in Germany Berlin, specifically the Landgericht Berlin, unless a different jurisdiction is mandated by law.
3.6 Confidentiality and Data Protection. The Lawyer shall treat all information received in connection with this Purchase Order as strictly confidential. The processing of any personal data shall comply with the EU General Data Protection Regulation (DSGVO) and the German Federal Data Protection Act (BDSG). A separate Data Processing Agreement (Auftragsverarbeitungsvertrag) shall be executed prior to the commencement of services.
3.7 Termination. Either party may terminate this Purchase Order with immediate effect for cause (fristlose Kündigung) or with a notice period of fourteen (14) days for the ongoing retainer services (Ref. 05). In the event of termination, the Lawyer shall be entitled to compensation for work already performed, and the Client shall be released from any further payment obligations.
3.8 Force Majeure. Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, governmental actions, or court closures in Germany Berlin.
4. Authorization and SignaturesBy signing below, the undersigned parties confirm that this Purchase Order has been reviewed, understood, and accepted. The Lawyer acknowledges the scope of engagement and agrees to render the specified legal services in Germany Berlin in accordance with the terms set forth herein.
