This Purchase Order is issued in accordance with the procurement policies of Accra Continental Holdings Limited and shall be governed by and construed in accordance with the laws of the Republic of Ghana, including the Legal Profession Act, 2000 (Act 604) and the Companies Act, 2019 (Act 992).
The Lawyer, Adv. Efua Mensah, Esq., shall render all professional legal services from the firm's offices located in Accra, Ghana, or at such other location in the Greater Accra Region as mutually agreed in writing by both parties.
All services described in this Purchase Order shall be performed with the highest degree of professional competence, diligence, and in strict compliance with the Rules of Professional Conduct of the Ghana Bar Association.
The Lawyer shall maintain strict confidentiality regarding all information, documents, and matters disclosed by the buyer in connection with the engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
Payment shall be made via bank transfer to the account designated by the Lawyer in writing. Invoices shall be submitted monthly and are payable within thirty (30) calendar days of receipt. Late payments shall attract interest at the rate of 2% per month as permitted under Ghanaian commercial law.
The Lawyer shall provide a written progress report to the buyer's Chief Financial Officer at the end of each calendar month detailing hours expended, matters advanced, and anticipated costs for the following period.
Any out-of-pocket expenses, including court filing fees, travel within Accra, and expert witness fees, shall be billed separately with supporting receipts and are subject to prior written approval by the buyer.
This Purchase Order may be amended or terminated by mutual written agreement. Either party may terminate with fourteen (14) days' written notice. Upon termination, the buyer shall pay for all services rendered up to the effective date of termination.
Disputes arising from this Purchase Order shall first be subject to mediation in Accra. If mediation fails, the matter shall be referred to the courts of competent jurisdiction in Accra, Ghana.
The Lawyer warrants that he/she is duly registered and in good standing with the Ghana Bar Association and holds a valid practicing certificate for the current year. Any breach of this warranty shall entitle the buyer to immediate termination without penalty.

This Purchase Order is hereby authorized, issued, and accepted by the undersigned parties. By signing below, both the buyer and the Lawyer acknowledge and agree to all terms, conditions, and obligations set forth in this document. This Purchase Order constitutes a binding agreement for the provision of legal services in Ghana Accra.
