- Payment shall be made via NEFT/RTGS to the bank account of the Lawyer (Adv. Rajesh Kumar Nair) as specified in the invoice. Bank: HDFC Bank, Residency Road Branch, Bangalore – 560025. Account No: 502000XXXXXX1234. IFSC: HDFC0000123.
- 30% advance payment (₹2,14,170) shall be due within 7 working days of acceptance of this Purchase Order.
- Remaining 70% shall be payable in monthly installments upon submission of detailed time-sheet and invoice by the Lawyer, subject to approval by the Procurement Head of Meridian Technologies, Bangalore.
- All payments are subject to TDS deduction at 10% under Section 194H of the Income Tax Act, 1961, as applicable to professional fees paid in India.
- Payment terms: Net 30 days from the date of invoice receipt.
- This Purchase Order is governed by the laws of India, specifically the Indian Contract Act, 1872, and shall be interpreted in accordance with the legal framework of the State of Karnataka, India.
- The Lawyer shall maintain strict confidentiality of all information, documents, and trade secrets of Meridian Technologies Pvt. Ltd. as per the Advocates Act, 1961, and the professional ethics code of the Bar Council of India.
- The Lawyer shall not represent any party in a matter directly adverse to the interests of Meridian Technologies Pvt. Ltd. during the tenure of this Purchase Order and for a period of 24 months thereafter.
- All legal proceedings and court appearances shall be conducted at the relevant courts in Bangalore, Karnataka, including but not limited to the Bangalore City Civil Court, the Karnataka High Court (Bengaluru Bench), and the Bangalore Intellectual Property Appellate Board.
- The Lawyer shall provide weekly written status reports on all active matters and shall be available for in-person meetings at the Meridian Technologies office in Bellandur, Bangalore, at least twice per month.
- Any out-of-pocket expenses (court filing fees, stamp duty, travel within Bangalore city limits, certified copies) shall be reimbursed at actuals upon submission of valid receipts, capped at ₹25,000 per quarter without prior written approval.
- This Purchase Order may be terminated by either party with 30 days' written notice. In the event of termination, the Lawyer shall be compensated for all services rendered up to the date of termination.
- Disputes arising from this Purchase Order shall be resolved through arbitration in Bangalore, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being Bangalore, India.
- The Lawyer warrants that he/she is duly enrolled with the Bar Council of Karnataka and holds a valid practicing certificate for the current year. Any lapse in enrollment shall render this Purchase Order void at the option of the Buyer.
This Purchase Order for legal services in Bangalore, India, is issued under the authority of the Board of Directors of Meridian Technologies Pvt. Ltd. The undersigned hereby authorizes the engagement of the aforementioned Lawyer for the scope of work described herein.
