- Jurisdiction and Governing Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of India, specifically the Indian Contract Act, 1872, and the Advocates Act, 1961. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra, India, and the Bombay High Court.
- Professional Conduct: The Lawyer (Advocate) shall adhere to the Code of Conduct and Ethics prescribed by the Bar Council of India and the Bombay Bar Council. The Advocate shall maintain the highest standards of professional integrity, confidentiality, and diligence as expected of a legal practitioner in Mumbai.
- Confidentiality: The Lawyer shall treat all information, documents, trade secrets, and business strategies disclosed by the Purchasing Entity as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Any breach of confidentiality shall be subject to legal action under the Indian Penal Code, 1860, and the Information Technology Act, 2000.
- Payment Schedule: Fifty percent (50%) of the total amount shall be paid as an advance within seven (7) working days of the acceptance of this Purchase Order. The remaining fifty percent (50%) shall be payable within fifteen (15) working days of the final submission of the legal opinion report and completion of all court appearances. Payments shall be made via NEFT/RTGS to the bank account designated by the Lawyer.
- Court Fees and Out-of-Pocket Expenses: All court fees, stamp duty, registration charges, and other statutory levies payable to the Bombay High Court or any subordinate court in Mumbai shall be borne by the Purchasing Entity and are not included in the amounts specified above. The Lawyer shall provide itemized receipts for all such expenses.
- Scope Limitation: This Purchase Order covers only the legal services explicitly described in the table above. Any additional legal work, including but not limited to appeals before the Supreme Court of India, mediation proceedings, or representation in other jurisdictions, shall require a separate written amendment to this Purchase Order.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Lawyer shall be entitled to payment for all services rendered up to the date of termination, and the Purchasing Entity shall be entitled to a pro-rata refund of any unearned advance.
- Compliance with Indian Regulations: The Lawyer confirms that she is duly enrolled with the Bar Council of Maharashtra and Goa and holds a valid Certificate of Practice. All services shall comply with the rules of the Bombay High Court, the Legal Services Authorities Act, 1987, and applicable provisions of the Income Tax Act, 1961, including TDS deductions as mandated by Indian tax law.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government orders, court closures, or public health emergencies affecting operations in Mumbai or elsewhere in India.
- Entire Agreement: This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Lawyer for the specified legal services in Mumbai. No oral representations or prior communications shall be considered binding unless incorporated in writing as an amendment to this document.
