This Purchase Order is issued by Meridian Corporate Solutions Pvt. Ltd. (hereinafter referred to as the "Buyer") to engage the services of Adv. Rajesh Kumar Sharma (hereinafter referred to as the "Lawyer" or "Vendor") for the provision of comprehensive legal advisory and representation services. The Lawyer shall render professional legal counsel, drafting, review, and litigation support in accordance with the scope defined below. All services shall be performed in compliance with the Advocates Act, 1961, and the Rules of Professional Conduct prescribed by the Bar Council of India, with the primary place of service being New Delhi, India.

  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Lawyer within seven (7) calendar days of the date of issue. Failure to accept within the stipulated period shall render this Purchase Order null and void.
  2. Scope of Work: The Lawyer shall provide all services exclusively within the jurisdiction of India New Delhi unless otherwise agreed in writing. Any engagement requiring travel outside New Delhi shall be subject to additional travel and accommodation charges at actual cost, pre-approved by the Buyer.
  3. Payment Terms: Payment shall be made within thirty (30) days from the date of receipt of a valid tax invoice from the Lawyer. Payment shall be processed via NEFT/RTGS to the bank account designated by the Lawyer. The Buyer reserves the right to withhold payment for any disputed line item pending resolution.
  4. Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, and trade secrets of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years. Any breach of confidentiality shall entitle the Buyer to seek injunctive relief and damages before the courts in New Delhi, India.
  5. Professional Standards: The Lawyer shall perform all duties with the degree of skill, care, and diligence expected of a competent legal practitioner enrolled with the Bar Council of Delhi. The Lawyer shall not engage in any conflict of interest that may adversely affect the Buyer's interests.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Buyer shall be liable only for services rendered up to the date of termination. The Lawyer shall return all documents and records belonging to the Buyer within seven (7) days of termination.
  7. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration being New Delhi, India. The arbitrator shall be a retired judge of the Delhi High Court appointed by mutual consent.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the legal framework applicable in New Delhi, India. The courts at New Delhi shall have exclusive jurisdiction over any matters arising hereunder.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government orders, or pandemics, provided that the affected party notifies the other within forty-eight (48) hours.
  10. Entire Agreement: This Purchase Order, together with any annexures and the engagement letter signed by the Lawyer, constitutes the entire agreement between the parties. No modification shall be valid unless made in writing and signed by both parties.
Note: This Purchase Order is issued in accordance with the internal procurement policy of Meridian Corporate Solutions Pvt. Ltd. The Lawyer acknowledges that all professional fees are subject to applicable TDS (Tax Deducted at Source) under Section 194H of the Income Tax Act, 1961, as applicable in India New Delhi. The Buyer shall issue Form 16A to the Lawyer at the end of the financial year.

By signing below, the parties confirm that this Purchase Order accurately reflects the mutual understanding between the Buyer and the Lawyer regarding the scope, cost, and terms of the legal services engagement. This document is executed in two (2) original copies, one for each party, in New Delhi, India.
