- Governing Law: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Jerusalem, Israel.
- Payment Terms: Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Lawyer or law firm. Invoices must reference this Purchase Order number (PO-IL-JLM-2025-04782) and include the Israeli VAT registration number. Payment shall be processed via bank transfer to the account designated by the vendor in Jerusalem.
- Confidentiality: The Lawyer and all associated personnel shall maintain strict confidentiality regarding all municipal records, case files, and sensitive information pertaining to the City of Jerusalem. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Professional Standards: The Lawyer shall perform all services in full compliance with the Israeli Bar Association Code of Ethics and Professional Conduct. Any breach of professional standards may result in immediate termination of this Purchase Order without penalty to the Buyer.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. The Buyer reserves the right to terminate immediately for material breach, negligence, or failure to meet the deadlines specified in the scope of work.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to acts of God, government orders, or civil unrest affecting the Jerusalem area, in accordance with Israeli contract law.
- Subcontracting: The Lawyer shall not subcontract any portion of the legal services without prior written approval from the Procurement & Legal Affairs Division in Jerusalem.
- Dispute Resolution: In the event of a dispute, the parties shall first attempt mediation through the Jerusalem Bar Association mediation center. Failing resolution within sixty (60) days, the matter shall be referred to the Jerusalem District Court.
This Purchase Order constitutes a formal request for legal services and, upon acceptance by the Lawyer, creates a binding contractual obligation for the provision of the services described herein. The acceptance of this Purchase Order by the vendor confirms that the Lawyer has reviewed all terms, agrees to the scope of work, and acknowledges the jurisdiction of the courts of Jerusalem, Israel.
