- Governing Law and Jurisdiction: This Purchase Order and all services rendered under it shall be governed by and construed in accordance with the laws of the Italian Republic. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale Ordinario di Milano, Italy, unless otherwise agreed in writing by both parties.
- Professional Independence of the Lawyer: The Lawyer engaged under this Purchase Order shall exercise full professional independence in the performance of legal services. The Buyer acknowledges that the Lawyer is bound by the Italian Code of Professional Conduct for Lawyers and the ethical rules of the Milan Bar Association. The Buyer shall not interfere with the Lawyer's professional judgment.
- Confidentiality and Data Protection: The Lawyer shall maintain strict confidentiality over all information received in connection with this Purchase Order, in accordance with Article 200 of the Italian Code of Criminal Procedure and the General Data Protection Regulation (EU) 2016/679 (GDPR) as implemented by Italian Legislative Decree 196/2003 (as amended by D.Lgs. 101/2018). - Scope Limitation: The services described in Section 3 constitute the full scope of this Purchase Order. Any additional legal services requested by the Buyer beyond the stated scope shall require a written amendment to this Purchase Order, signed by both parties, specifying additional fees and timelines.
- Termination: Either party may terminate this Purchase Order with 30 (thirty) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all client documents and materials within 15 (fifteen) days of termination.
- Professional Liability Insurance: The Lawyer confirms that the firm maintains professional liability insurance (RC Professionale) with a minimum coverage of €1,000,000 per claim, as required by the Milan Bar Association. A certificate of insurance shall be provided upon request.
- Anti-Money Laundering: In accordance with Italian Legislative Decree 231/2007 (as amended), the Lawyer shall perform customer due diligence (KYC) procedures on the Buyer prior to commencing services, in compliance with the regulations of the Italian Anti-Money Laundering Authority (UIF).
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or public health emergencies affecting the city of Milan or the Italian Republic.
- Entire Agreement: This Purchase Order, together with any written amendments, constitutes the entire agreement between the parties regarding the engagement of the Lawyer for the services described herein and supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order.
