- Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Republic of Italy. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the Tribunale Ordinario di Roma, Foro di Roma, in the City of Rome, Lazio, Italy. The parties expressly waive any right to submit disputes to arbitration or to any court outside the territorial jurisdiction of Rome.
- Professional Standards: The Lawyer (Avv. Francesca De Laurentiis) shall perform all services in strict compliance with the Code of Professional Conduct for Lawyers in Italy (Codice Deontologico Forense, approved by the Consiglio Nazionale Forense) and the provisions of the Italian Civil Code relating to mandates (mandato, Arts. 1710–1728). The Lawyer warrants that she is in good standing with the Albo degli Avvocati di Roma and holds a valid professional liability insurance policy (RC Professionale) with a minimum coverage of EUR 1,000,000 per claim.
- Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the account designated by the Lawyer's studio. Invoices shall be issued monthly in arrears and are due within 30 calendar days of the invoice date, in accordance with Italian commercial practice. Late payments shall accrue interest at the rate established by the Banca d'Italia for overdue commercial transactions (D.Lgs. 231/2002). All amounts are expressed in Euro (EUR) and are subject to the applicable Italian Value Added Tax (IVA) at the standard rate of 22%.
- Confidentiality and Data Protection: The Lawyer shall maintain strict professional secrecy (segreto professionale) as mandated by Article 200 of the Italian Code of Criminal Procedure and Article 1321 of the Italian Civil Code. All personal data processed in connection with this engagement shall be handled in full compliance with the EU General Data Protection Regulation (GDPR, Regulation 2016/679) and the Italian implementing legislation (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018). The data controller is Meridiana S.r.l., Rome.
- Scope Limitation and Additional Services: Any legal services beyond the scope defined in Section 3 of this Purchase Order shall require a written amendment (variazione d'ordine) signed by both parties prior to commencement. The Lawyer shall not be obligated to perform additional work without prior written authorization from the Purchasing Entity.
- Termination: Either party may terminate this Purchase Order with 30 days' written notice delivered by registered mail (raccomandata A/R) or certified email (PEC) to the addresses specified above. Upon termination, the Lawyer shall be compensated for all services rendered up to the effective date of termination, and shall deliver all documents, files, and correspondence related to the engagement to Meridiana S.r.l. within 15 business days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, acts of government, or closures of the Foro di Roma or the Tribunale Ordinario di Roma ordered by judicial or administrative authority.
- Anti-Corruption and Compliance: Both parties represent and warrant that no part of the consideration under this Purchase Order shall be used to offer, give, or receive any improper payment or advantage in violation of Italian anti-corruption legislation (D.Lgs. 231/2001) or the EU Anti-Fraud Regulation.
By signing below, the Purchasing Entity authorizes the issuance of this Purchase Order for the legal services described herein, and the Lawyer acknowledges receipt and acceptance of the terms, conditions, and scope of work set forth in this document. This Purchase Order constitutes a binding contractual mandate (mandato) under Italian law upon execution by both parties.
