All payments under this Purchase Order shall be made in West African CFA Francs (XOF) via bank transfer to the account of the Lawyer's firm as registered with the Bar of Abidjan. The payment schedule is as follows:
- Retainer fees (Item 01): Payable monthly in advance on the first business day of each calendar month.
- Lump-sum items (Items 02, 03, 04): 40% upon execution of this Purchase Order, 40% upon completion of 75% of the assigned work, and 20% upon final delivery of the legal opinion, judgment, or due-diligence report.
- On-call fees (Item 05): Payable quarterly in arrears, with an itemized statement of hours and matters attended.
Payment shall be made to: Banque Atlantique Côte d'Ivoire, Account No. 00045-12847-01, SWIFT: BANCABJJ, in the name of Cabinet d'Avocats Adjoua & Associés, Abidjan, Ivory Coast.
- This Purchase Order is governed by and shall be construed in accordance with the laws of the Republic of Côte d'Ivoire (Ivory Coast), including the Ivorian Code de Commerce and the applicable provisions of the Ordre des Avocats de Côte d'Ivoire.
- The Lawyer shall maintain professional confidentiality in strict compliance with Article 10 of the Statut de la Profession d'Avocat in Ivory Coast. All documents, communications, and strategies shared under this engagement are privileged and shall not be disclosed to any third party without the Client's written consent.
- The Lawyer warrants that he is duly registered in good standing with the Bar of Abidjan and holds no conflict of interest that would impair his ability to represent the Client in the matters described herein.
- Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce d'Abidjan, Ivory Coast, unless the parties agree in writing to alternative dispute resolution.
- The Client reserves the right to terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Client shall be liable for all fees accrued up to the effective date of termination, and the Lawyer shall deliver all work product in progress.
- All invoices issued by the Lawyer must reference this Purchase Order number (PO-IVC-ABJ-2025-0472) and shall be submitted to the Client's Finance Department at Boulevard de Vridi, Cocody, Abidjan, no later than the 25th of the month in which services were rendered.
- This Purchase Order does not constitute a guarantee of any particular legal outcome. The Lawyer's obligation is to provide diligent, competent, and zealous representation in accordance with the professional standards of the legal profession in Ivory Coast.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of services set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of legal services in Abidjan, Ivory Coast, effective from the date of the last signature.
