This Purchase Order authorizes the engagement of the above-named Lawyer and law firm to provide comprehensive legal counsel and representation to Kyoto Seimitsu Manufacturing Co., Ltd.   1. Engagement of the Lawyer: The services described herein shall be personally supervised by the named Lawyer, Fujimoto Kenji, Esq. Delegation to associate attorneys at the Kyoto office is permitted only with prior written consent from the Purchasing Entity. The Lawyer shall maintain professional indemnity insurance in accordance with the Japan Bar Association's mandatory requirements.
  2. Place of Performance: All legal services under this Purchase Order shall be performed in Kyoto, Japan, unless otherwise agreed in writing. Court appearances, if required, shall take place at the Kyoto District Court or the Kyoto High Court as applicable.
  3. Confidentiality: The Lawyer and all personnel at Fujimoto & Associates Law Office shall maintain strict confidentiality of all information disclosed by the Purchasing Entity, in compliance with Article 23 of the Attorney Act of Japan and the Japan Bar Association's Code of Ethics. This obligation survives the termination of this Purchase Order for a period of five (5) years.
  4. Payment: Invoices shall be submitted monthly in Japanese Yen (JPY). Payment shall be made via bank transfer to the account designated by the law firm within thirty (30) days of invoice receipt. Late payments shall accrue interest at the statutory rate of 1.5% per annum as prescribed by the Civil Code of Japan.
  5. Expenses: Court filing fees, expert witness fees, travel expenses within the Kyoto metropolitan area, and other out-of-pocket costs shall be billed separately at actual cost with supporting documentation. Expenses exceeding JPY 100,000 per item require prior written approval from the Purchasing Entity.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Lawyer shall deliver all work product, files, and documents to the Purchasing Entity within fourteen (14) days. Fees for services rendered prior to the effective date of termination shall remain payable.
  7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved through mediation administered by the Kyoto Bar Association. If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the Kyoto District Court, Japan.
  8. Compliance: The Lawyer warrants that all services shall comply with the Attorney Act of Japan, the Japan Bar Association Rules, and all applicable regulations of the Ministry of Justice of Japan. The Lawyer shall not engage in any conflict of interest as defined under the Japan Bar Association's conflict rules.
  9. Language: All legal documents, opinions, and correspondence shall be prepared in Japanese. Bilingual (Japanese/English) versions shall be provided where specifically requested under the line items above.
  10. Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes common to the Kyoto region), government actions, or other events beyond reasonable control, as defined under Article 536 of the Civil Code of Japan.

This Purchase Order constitutes a formal request for the engagement of legal services by the Lawyer identified herein. By signing below, both parties acknowledge and agree to the terms set forth in this document. This Purchase Order is governed by and shall be construed in accordance with the laws of Japan, with particular reference to the provisions of the Civil Code applicable to contracts for services (chūsa keiyaku, Articles 632–648).
