- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with exclusive jurisdiction vested in the Osaka District Court located in Japan Osaka. All disputes arising from the engagement of the Lawyer under this Purchase Order shall be resolved in the courts of Japan Osaka unless otherwise agreed in writing by both parties.
- Payment Schedule: The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid invoice from the Lawyer. Invoices shall be issued in Japanese Yen (JPY) and submitted via electronic transfer to the account designated by the Buyer. Late payments shall accrue interest at the statutory rate under the Japanese Civil Code.
- Confidentiality: The Lawyer and all associated legal staff at Osaka Legal Partners & Associates shall maintain strict confidentiality regarding all information, trade secrets, and proprietary data disclosed by the Buyer in connection with the services described in this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Professional Standards: The Lawyer shall perform all services in accordance with the standards of professional conduct set forth by the Japan Federation of Bar Associations and the Osaka Bar Association. The Lawyer warrants that all work product shall be original, free from conflicts of interest, and compliant with all applicable regulations in Japan Osaka.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall return all documents and materials belonging to the Buyer within fourteen (14) days.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters affecting the Japan Osaka region, government mandates, or acts of war.
- Dispute Resolution: In the event of a dispute, the parties shall first attempt resolution through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to mediation administered by the Osaka Commercial Arbitration Association before proceeding to litigation in Japan Osaka.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the engagement of the Lawyer for legal services in Japan Osaka. This Purchase Order constitutes a binding agreement upon execution by both authorized representatives.
