Description of Purchased Legal Services

This Purchase Order is issued by Almaty Industrial Holdings LLP (hereinafter referred to as the "Buyer") to engage the services of the above-named Lawyer (hereinafter referred to as the "Legal Counsel") for the provision of comprehensive legal advisory and representation services within the jurisdiction of Kazakhstan Almaty. The scope of work encompasses the following specific deliverables:

Terms and Conditions

Governing Law and Jurisdiction: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Kazakhstan Almaty, specifically the Almaty City Economic Court, unless otherwise agreed in writing by both parties.
Payment Terms: The Buyer shall remit payment in Kazakhstani Tenge (KZT) via bank transfer to the Legal Counsel's designated account. Payment shall be made in three (3) equal installments: 40% upon execution of this Purchase Order, 35% upon completion of court representation services (Item 2), and 25% upon delivery of the final compliance report (Item 5). All payments are due within ten (10) business days of invoice receipt.
Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, trade secrets, and business strategies disclosed by the Buyer during the course of engagement. This obligation shall survive the termination of this Purchase Order for a period of five (5) years, in compliance with the Law of the Republic of Kazakhstan "On Advocacy Activity."
Professional Standards: The Lawyer shall perform all services with the degree of skill, care, and diligence expected of a qualified legal practitioner registered with the Almaty City Bar Association. The Legal Counsel warrants that no conflict of interest exists and shall promptly disclose any potential conflict that may arise during the engagement period.
Deliverables and Reporting: The Lawyer shall provide written progress reports to the Buyer's Chief Financial Officer every ten (10) business days. All legal opinions, drafts, and court filings shall be delivered in both Kazakh and English languages unless otherwise specified in writing.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the date of termination. The Legal Counsel shall return all original documents and confidential materials within five (5) business days of the termination notice.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting Kazakhstan Almaty or the broader Republic of Kazakhstan.
Tax Obligations: All applicable taxes, including Value Added Tax (VAT) at the rate prescribed by the Tax Code of the Republic of Kazakhstan, shall be borne as per the statutory allocation. The Legal Counsel shall issue a proper invoice (schet-faktura) for each payment installment.

Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of legal services. The Buyer authorizes the expenditure of funds as specified herein, and the Lawyer confirms acceptance of the scope of work, rates, and terms set forth in this document.
