This Purchase Order is issued by East African Commercial Holdings Ltd. (hereinafter referred to as the "Purchaser") to engage the services of Advocate Wanjiku M. Kamau of Kamau & Associates Advocates (hereinafter referred to as the "Lawyer") for the provision of comprehensive legal services in Nairobi, Kenya. The Lawyer shall act as the Purchaser's retained legal counsel for the matters described below, in full compliance with the Advocates Act (Cap 27) of the Laws of Kenya, the Legal Profession and Advocates Act (2012), and the rules of the Law Society of Kenya.

- Governing Law: This Purchase Order and the engagement of the Lawyer shall be governed by and construed in accordance with the laws of the Republic of Kenya, including the Advocates Act (Cap 27), the Legal Profession and Advocates Act (2012), the Contracts Act (Cap 23), and the Consumer Protection Act (2012). Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.
- Professional Conduct: The Lawyer shall at all times adhere to the Code of Professional Conduct for Advocates as prescribed by the Law Society of Kenya and the Judicial Service Commission of Kenya. The Lawyer warrants that they are duly enrolled on the Roll of Advocates of the High Court of Kenya and hold a valid practising certificate for the current year.
- Confidentiality: The Lawyer shall maintain strict confidentiality regarding all information, documents, and matters disclosed by the Purchaser in connection with this Purchase Order. This obligation shall survive the termination of the engagement for a period of five (5) years, in compliance with the Data Protection Act (2019) of Kenya.
- Payment Schedule: The Purchaser shall remit fifty percent (50%) of the total fee upon execution of the engagement letter and receipt of a valid tax invoice from the Lawyer. The remaining fifty percent (50%) shall be payable within fourteen (14) days of the completion of all legal services outlined in this Purchase Order. All payments shall be made via bank transfer to the Lawyer's designated account in Nairobi, Kenya.
- Disbursements and Court Fees: All court filing fees, stamp duties, registry fees, and other out-of-pocket disbursements incurred in Nairobi, Kenya, in the course of performing the services under this Purchase Order shall be borne by the Purchaser and shall be reimbursed upon presentation of official receipts from the relevant Kenyan government offices.
- Termination: Either party may terminate this Purchase Order by giving thirty (30) days' written notice to the other party. In the event of termination, the Lawyer shall be entitled to payment for all services rendered up to the date of termination, and shall return all documents and files belonging to the Purchaser within seven (7) days.
- Conflict of Interest: The Lawyer warrants that there is no conflict of interest in undertaking the services described in this Purchase Order. The Lawyer shall immediately notify the Purchaser in writing should any potential conflict of interest arise during the engagement.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond their reasonable control, including but not limited to acts of God, government actions in Kenya, strikes, or pandemics, provided that the affected party gives prompt written notice to the other party.
- Compliance with Kenyan Regulations: The Lawyer shall ensure that all legal services rendered under this Purchase Order comply with the regulations of the Law Society of Kenya, the Judicial Service Commission, the Kenya Revenue Authority (KRA), and all applicable statutory requirements in Nairobi, Kenya.
- Notices: All notices under this Purchase Order shall be in writing and delivered to the addresses stated above in Nairobi, Kenya, by hand, registered post, or email with confirmed receipt.
This Purchase Order constitutes a formal request for the engagement of the Lawyer's professional legal services. By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work set forth in this document. This Purchase Order is valid only when signed and stamped by both the authorized representative of the Purchaser and the Lawyer.
