This Purchase Order is issued by Meridian Pacific Holdings Sdn. Bhd. to engage the services of a qualified Lawyer, specifically the firm of Chong, Lim & Associates Advocates & Solicitors, for the provision of comprehensive legal advisory and representation services within the jurisdiction of Malaysia Kuala Lumpur. 4. Terms and Conditions
  1. Governing Law and Jurisdiction: This Purchase Order and the legal services engagement herein shall be governed by and construed in accordance with the laws of Malaysia. Any dispute arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Malaysia Kuala Lumpur, specifically the High Court of Malaya sitting in Kuala Lumpur.
  2. Professional Standards: The Lawyer and all associates engaged under this Purchase Order shall adhere to the Rules of Professional Conduct 2020 as promulgated by the Malaysian Bar Council. The Lawyer shall maintain professional indemnity insurance with a minimum coverage of RM 1,000,000 as required by the Malaysian Bar Council for practitioners in Kuala Lumpur.
  3. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice issuance. The monthly retainer fee (Item 5) shall be payable in advance on the first business day of each calendar month. All payments shall be made via bank transfer to the firm's designated account in Malaysia. No payment shall be made to any individual Lawyer outside the firm's trust account unless expressly authorised in writing.
  4. Confidentiality and Data Protection: The Lawyer shall maintain strict confidentiality of all information disclosed in the course of this engagement, in accordance with the legal professional privilege recognised under Malaysian law. All personal data processed shall comply with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
  5. Scope and Limitations: The services described in this Purchase Order are limited to the legal matters specified herein. Any additional legal work requested by the Buyer beyond the scope of this Purchase Order shall require a written amendment or supplementary Purchase Order issued by the Buyer prior to commencement.
  6. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. Upon termination, the Lawyer shall be entitled to payment for all legal services rendered up to the date of termination, and the Buyer shall be entitled to a refund of any unearned retainer fees. The Lawyer shall return all documents and files belonging to the Buyer within fourteen (14) days of termination.
  7. Conflict of Interest: The Lawyer warrants that, as of the date of this Purchase Order, there is no conflict of interest in representing Meridian Pacific Holdings Sdn. Bhd. in the matters described herein. The Lawyer shall immediately notify the Buyer in writing should any conflict of interest arise during the engagement period.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Malaysia Kuala Lumpur, or court closures declared by the Malaysian judiciary.
  9. Anti-Bribery and Compliance: The Lawyer represents that no part of the fees payable under this Purchase Order shall be used for any purpose that contravenes the Malaysian Anti-Corruption Commission Act 2009 (MACC Act) or any other anti-bribery legislation in force in Malaysia.
5. Authorisation and Acceptance

By signing below, the Buyer authorises this Purchase Order for the engagement of the Lawyer's services as described herein, and the Lawyer accepts the terms and conditions set forth in this Purchase Order for the provision of legal services in Malaysia Kuala Lumpur.
