This Purchase Order is issued by Grupo Industrial del Valle, S.A. de C.V. (hereinafter referred to as the "Buyer") to formally request and authorize the engagement of professional legal services provided by Mtro. Jorge Luis Herrera Mendoza, acting in his capacity as a licensed Lawyer (Abogado) registered with the Colegio de Abogados de la Ciudad de México, operating through Despacho Jurídico Herrera & Asociados, S.C. (hereinafter referred to as the "Seller" or "Lawyer").   1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the United Mexican States, with specific application of the regulations of Mexico City, Mexico. Any disputes arising from this Purchase Order shall be resolved before the competent courts of Mexico City, Mexico, or through arbitration at the Centro de Arbitraje de la Ciudad de México, at the Buyer's sole discretion.
  2. Professional Liability: The Lawyer acknowledges that all services rendered under this Purchase Order shall be performed with the due diligence, competence, and ethical standards required by the Código de Ética Profesional del Abogado de la Ciudad de México. The Lawyer shall maintain professional liability insurance with a minimum coverage of MXN $2,000,000 for the duration of this engagement.
  3. Confidentiality: The Lawyer agrees to maintain strict confidentiality regarding all information, documents, and trade secrets disclosed by the Buyer in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  4. Payment Schedule: Payment for this Purchase Order shall be made via bank transfer (SPEI) to the Seller's designated account. Invoices shall be issued in accordance with the SAT (Servicio de Administración Tributaria) electronic invoicing requirements (CFDI 4.0). Payment is due within thirty (30) calendar days from the date of invoice receipt.
  5. Scope Limitations: The services described in this Purchase Order are limited to the specific line items enumerated above. Any additional legal work requested by the Buyer beyond the stated scope shall require a written amendment to this Purchase Order, signed by both parties, prior to commencement of such additional work.
  6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. Upon termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Lawyer shall deliver all work product and documents to the Buyer within fifteen (15) days of termination.
  7. Compliance with Mexican Regulations: The Lawyer warrants that all services shall comply with the Ley Federal de Protección de Datos Personales en Posesión de los Particulares, the regulations of the Colegio de Abogados de la Ciudad de México, and all applicable tax obligations before the SAT in Mexico City, Mexico.
  8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government mandates, or public health emergencies affecting Mexico City, Mexico.

By signing below, the Buyer authorizes the issuance of this Purchase Order for the legal services described herein, and the Lawyer (Seller) accepts the engagement and agrees to perform the services in accordance with the terms, conditions, and deadlines set forth in this Purchase Order. Both parties acknowledge that this document constitutes a binding contractual agreement for the provision of professional legal services in Mexico City, Mexico.
