This Purchase Order is issued by Golden Pagoda Trading & Services Co., Ltd. (hereinafter referred to as the "Purchaser") to engage the services of a qualified Lawyer and legal counsel firm for the provision of comprehensive legal advisory, representation, and documentation services in Yangon, Myanmar. The Lawyer engaged under this Purchase Order shall act in accordance with the Myanmar Legal Profession Law, the Myanmar Bar Association Rules of Professional Conduct, and all applicable statutes of the Republic of the Union of Myanmar.

- Governing Law: This Purchase Order and the engagement of the Lawyer shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar, including the Myanmar Legal Profession Law, the Myanmar Contract Law, and the rules of the Myanmar Bar Association applicable to legal practitioners in Yangon.
- Professional Conduct: The Lawyer and all associated legal staff shall adhere strictly to the Myanmar Bar Association's Code of Professional Conduct, maintaining confidentiality, avoiding conflicts of interest, and upholding the highest standards of legal ethics as practiced in Yangon, Myanmar.
- Confidentiality: All documents, trade secrets, business strategies, and personal information disclosed to the Lawyer in connection with this Purchase Order shall be treated as strictly confidential. The Lawyer shall not disclose any such information to third parties without the prior written consent of the Purchaser, in compliance with Myanmar data protection regulations.
- Payment Schedule: Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice from the Lawyer's firm. Payment shall be made via bank transfer to the firm's designated account at a licensed commercial bank in Yangon, Myanmar. The Purchaser reserves the right to withhold payment for any services not rendered to the satisfaction of the Purchaser's management.
- Scope and Changes: Any modification to the scope of legal services outlined in this Purchase Order must be documented in a written amendment signed by both the Purchaser's authorized representative and the Lead Lawyer. Verbal instructions shall not constitute a valid change order.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. Upon termination, the Lawyer shall deliver all work-in-progress documents and files to the Purchaser within seven (7) days, and the Purchaser shall pay for all services rendered up to the termination date.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation between the parties. If unresolved within thirty (30) days, the dispute shall be submitted to the Yangon District Court or, at the Purchaser's election, to arbitration under the Myanmar Arbitration Law, with the seat of arbitration in Yangon, Myanmar.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting Yangon, Myanmar, provided that the affected party gives prompt written notice.
- Language: All legal documents, opinions, and correspondence produced under this Purchase Order shall be prepared in English and, where required by Myanmar law, accompanied by a certified Burmese (Myanmar) translation.
- Validity: This Purchase Order is valid for thirty (30) days from the date of issue. If the Lawyer does not accept this Purchase Order within the validity period, it shall automatically lapse.
By signing below, the Purchaser authorizes the engagement of the Lawyer as specified in this Purchase Order, and the Lawyer acknowledges acceptance of the terms, conditions, and scope of legal services described herein. Both parties confirm that this Purchase Order constitutes a binding agreement for the provision of legal services in Yangon, Myanmar.
